Overview

Head of Ethics and Compliance will lead the development and implementation of MH Ethics and Compliance global frameworks, programs and policies, in line with leading practices and applicable regulations. Oversee and monitor ethics and compliance practices across MH assets to ensure ethics and compliance risks are identified and mitigated, thus protecting MH\xe2\x80\x99s interests and embedding the highest standards of ethics in the company\xe2\x80\x99s culture. Provide the Chief Legal Officer, the Board and the Board Audit, Risk, and Compliance Committee with expert advice on compliance and ethics related matters to inform decision-making.

Responsibilities

Strategy and Performance Management
  • Develop annual business plans for the Ethics and Compliance function to ensure the achievement of financial and strategic objectives.
  • Functionally report to the Chief Legal Officer on the progress of activities against the annual business plans, opportunities identified, challenges and issues faced, mitigations taken, etc. as required, to inform decision-making.
  • Manage and continuously monitor the performance of the Ethics and Compliance function to ensure performance deviations are identified in a timely manner, and required resources and actions are implemented to meet performance targets.
Leadership
  • Oversee the Ethics and Compliance function\xe2\x80\x99s performance by managing performance of direct and indirect reports, defining workforce requirements, recruiting, training and developing talent, in conjunction with the Human Capital function, to ensure competent, qualified and highly motivated staff enable the achievement of the function\xe2\x80\x99s objectives.
  • Review employee engagement results and develop action plans to establish a motivated and engaged workforce.
  • Develop the next generation of leaders for MH to ensure business sustainability and contribute to the diversification and transformation of Abu Dhabi\xe2\x80\x99s economy.
Budget Planning
  • Prepare and recommend the Ethics and Compliance function\xe2\x80\x99s budget in alignment to the respective annual business plan.
  • Monitor the function\xe2\x80\x99s financial performance vis-\xc3\xa0-vis the budget to ensure alignment with set budget guidelines, identify areas of unsatisfactory performance, and recommend performance improvement opportunities.
Ethics Standards and Frameworks
  • Steer and provide expert advice for the development of MH ethics standards and related frameworks and documents, such as the Code of Ethics, to ensure that MH endorses and implements the highest standards of ethics.
  • Oversee the implementation of the global ethics and compliance frameworks and policies across MH and its assets in order to comply with the applicable best practices and regulations as well as to create a leading working environment.
  • Provide expert support to investigate and / or facilitate the resolution of any breaches to the existing ethics and compliance standards and frameworks, in MH as well as its assets, in order to make sure that they are properly addressed and minimize any impact on the image and reputation of MH.
Ethics and Compliance Advice
  • Act as the custodian and focal interface on ethics and compliance matters and issues across MH and its assets to ensure adherence to all statutory and governmental regulations, and policies and procedures to protect M42 interests.
  • Monitor best practices in the ethics and compliance field to continuously enhance MH ethics and compliance program.
  • Provide advice and support to the Senior Leadership within MH on the identification, assessment, management, and proactive mitigation of ethics and compliance risks associated with their business operations.
Ethics and Compliance Strategy and Program
  • Lead the development and implementation of the ethics and compliance strategy, program and initiatives across MH and its assets, in close consultation with the Head \xe2\x80\x93 Ethics and Compliance and the Chief Legal Officer, and in line with leading global practices, in order to maintain highest standards of corporate compliance and ethics.
  • Lead the review and effective monitoring of divisions\xe2\x80\x99, sectors\xe2\x80\x99 and assets\xe2\x80\x99 ethics and compliance levels to ensure programs are effectively and efficiently implemented, and corrective measures against deviations are deployed in a timely manner.
Ethics and Compliance Risk Assessment
  • Lead the identification, evaluation and analyses of ethics and compliance risks and emerging issues inherent to the operations of MH in order to formulate, implement and evaluate appropriate and fit-for-purpose ethics and compliance programs.
  • Identify potential areas of ethics and compliance vulnerability and risk and, when relevant, liaise with the Enterprise Risk Management Division to collaborate on the development and implementation of corrective action plans and preventive measures for the future.
  • Provide expert advisory and strategic counsel to the Audit, Risk and Compliance Committee as well as to the relevant Chiefs and Executive Directors on key ethics and compliance related matters, such as the development of effective programs and measures or the mitigation of ethics and compliance risks, in order to ensure that MH leadership is properly equipped for decision-making.
Relationship Management
  • Ensure effective collaboration with other business and corporate functions, particularly the Group Legal & Regulatory Affairs platform, and ensure ethics and compliance issues are directed to appropriate channels for investigation and resolution.
  • Lead the development of strategic and mutually-beneficial relationships with MH relevant stakeholders, such as regulators, business partners, suppliers and government entities, in order to ensure fluid information flows and seamless collaboration on all compliance and ethics related matters.
Capability Building
  • Ensure the provision of adequate support and training to the Ethics and Compliance Office team members to build internal capabilities, increase awareness, and enable the effective implementation of the ethics and compliance frameworks and policies across MH and its assets.
Change Management
  • Manage the identification and implementation of change initiatives on systems, processes and practices taking into account \xe2\x80\x98international leading practice\xe2\x80\x99, and changes in the business environment.
Policies, System, Processes and Procedures
  • Manage the development and implementation of functional policies, systems, processes and procedures, and continuously identify and recommend improvements to ensure compliance with MH standards and regulatory requirements, align to business requirements, and increase operational effectiveness.
  • Review MH\xe2\x80\x99s Code of Ethics to ensure pro-active continuous improvement in line with MH values and applicable laws and regulations.
Management Reporting
  • Ensure that all the function\xe2\x80\x99s reports are prepared in a comprehensive, accurate and timely manner, and meet business and functional requirements and standards.
  • Present regular and ad-hoc management reports on new opportunities, highlight critical issues and challenges, and provide strategic insight to inform key decision-making.
  • Oversee and manage the Ethics and Compliance Helpline reporting and investigation processes, and review and assess reported helpline concerns to identify key themes and to ensure root causes are identified and abated.
Authority and Decision Making
  • The Head \xe2\x80\x93 Ethics and Compliance functionally reports to the Chief Legal Officer and confers with the latter on all critical and strategic issues.
  • Key decisions having any material impact on the function are referred to the Head \xe2\x80\x93 Ethics and Compliance to the ARCC and / or to the Chief Legal Officer for approval before implementation.
  • The Head \xe2\x80\x93 Ethics and Compliance identifies, formulates and implements MH\xe2\x80\x99s ethics and compliance strategy, objectives and program with approval from the ARCC.
Related Assignments

Qualifications

Education & Experience
  • Bachelor\xe2\x80\x99s degree from an internationally recognised higher education institution.
  • Preferably a post-graduate degree in a relevant field.
  • Relevant certification such as Certification of Compliance and Ethics Professional, Society of Corporate Compliance & Ethics (SCCE).
  • Minimum of 13 years of experience in a progressive and more complex senior-level role in compliance management in a top-tier international company, with at least 5 years of experience in a compliance management position.
  • Additional relevant experience is an advantage.
Knowledge
  • Strong knowledge of MH\xe2\x80\x99s operations and business across various sectors.
  • In-depth knowledge of ethics and compliance practices and techniques, and ability to leverage leading practices to develop an ethics and compliance program tailored to MH business requirements.
  • Strong knowledge of corporate governance leading practices.
  • Knowledge of local and international ethics and compliance requirements, and laws, regulations and legislations.
  • Strong communication and interpersonal skills, and ability to effectively communicate on ethics and compliance related items and matters with Board level and Senior Leadership.
