Your Mission

As Legal Counsel, you will play an integral role in providing comprehensive legal support. You will work closely with the General Counsel and collaborate with cross functional teams and help the company navigate legal challenges in a fast paced and innovative fintech environment that fuels our company\xe2\x80\x99s growth.

The scope of legal work will be varied and includes drafting and negotiation of various legal documents, advising on product structuring, partnership arrangements, regulatory matters and corporate governance and corporate secretarial matters.

What you will do

Legal Advisory and Contract Management

\xc2\xb7 Provide legal guidance on a wide range of issues related to fintech operations, ensuring compliance with applicable laws and regulations.

\xc2\xb7 Contract Management: Drafting and negotiating a range of commercial agreements, including NDAs, MOUs, software development, strategic partnerships, product-specific terms, intra group agreements, terms of use and privacy policy for myZoi\xe2\x80\x99s platform.

\xc2\xb7 Work closely with stakeholders to structure and develop products and services from scratch, including reviewing and working through process flows and understanding complexities of the relevant product(s) and technology and provide legal insight and expertise on existing and developing business propositions.

\xc2\xb7 Advising on legal and regulatory matters (including licensing) associated with transactions, partnership and product structure, operations, and entry into new markets, including IP and data privacy/protection.

\xc2\xb7 Collaborate with cross-functional teams, including but not limited to commercial, finance, technology, product and operations, to provide holistic legal support.

\xc2\xb7 Engage, procure, and manage external counsel support as and when required.

\xc2\xb7 Support provision of transactional support for projects and transactions within the company.

\xc2\xb7 Keep updated on relevant changes in law and regulations, shifting industry or market practices and litigation affecting myZoi.

Corporate Governance and Corporate Secretariat

\xc2\xb7 Close cooperation with the General Counsel/Board Secretary for myZoi and SC Ventures Corporate Secretariat in relation to governance of the company.

\xc2\xb7 Arrange board meetings and all aspects of board logistics to ensure smooth running, preparing and distributing board meeting documentation.

\xc2\xb7 Assisting with coordination and follow through on the execution of all board resolution and minutes, including any underlying documents approved to be signed.

\xc2\xb7 Work with company secretarial outsourced service providers for license renewals/updates, to file reports or events with the registrar of companies.

\xc2\xb7 Maintain a systematic database of all venture entities board meeting details (which should include, attendance, agenda, board papers, minutes, and resolutions).

\xc2\xb7 Prepare board and shareholder resolutions including ensuring all relevant documents and filings pursuant to the resolutions are made.

\xc2\xb7 Maintain and safe keep physical documents and soft copies and registers (where necessary), ensuring files are up to date.

\xc2\xb7 Ensure all corporate secretarial information are updated into Blueprint and Board Intelligence (SC Ventures platforms to manage data).

Our Ideal Candidate

\xc2\xb7 Bachelor\xe2\x80\x99s Degree in Law and admission to practice law in a recognized jurisdiction.

\xc2\xb7 3 \xe2\x80\x93 4 years post qualification experience.

\xc2\xb7 Proficient in managing diverse legal matters and exploring innovative technological solutions to enhance the efficiency of legal department processes and functions.

\xc2\xb7 Strong analytical and communication skills, capable of advising cross-functional teams on intricate legal issues and providing clear recommendations.

\xc2\xb7 Team player with the ability to collaborate, manage, and coordinate effectively with colleagues, internal stakeholders, and the business.

\xc2\xb7 Excellent drafting and negotiation skills.

\xc2\xb7 Comfortable working in dynamic, fast-paced environments with shifting priorities and ambiguity.

\xc2\xb7 Exceptional organizational skills, adept at meeting multiple deadlines.

\xc2\xb7 Self-starter with a solutions-focused and innovative mindset.

Preferred Skills

\xc2\xb7 In-house experience in the retail banking unit of a bank or experience working for a technology or fintech company.

\xc2\xb7 Knowledge and experience of UAE and Middle East laws and regulations.

\xc2\xb7 Knowledge of and experience in payment services and fintech.

\xc2\xb7 Corporate Secretarial experience (preferred but not required)
