Assistant Board Secretary

Location - Dubai Logistics City, Dubai, Dubai United Arab Emirates (AE)

Purpose of Job:

Aramex PJSC, a publicly listed company in the UAE, is seeking a professional Assistant Board Secretary. The successful candidate should have strong knowledge of corporate governance, be experienced in managing company records and maintaining compliance with both internal regulations and external laws. As the Assistant Board Secretary, you will report directly to the Board Secretary, and be responsible for assisting in the governance and administration of the Board and its committees.

Role Responsibilities:

Assisting in preparing and distributing board meeting agendas, pre-reading materials, and minutes in accordance with company policies and procedures, and local laws.

Assisting the Board Secretary in ensuring the Board and its committee\'s function smoothly, efficiently, and effectively.

Facilitating the orientation and training of new directors and assisting in director evaluation processes.

Ensuring good information flows within the board and its committees and between senior management and non-executive directors.

Managing policies and procedures of the Board and ensuring documentation and reports are accurate and maintained properly.

Assisting in keeping up-to-date with any regulatory changes affecting the company and its operations.

Coordinating with different departments and stakeholders in the preparation of reports and disclosures.

Assisting in the implementation of corporate governance principles and ensuring compliance with corporate governance practices.

Organizing and maintaining the corporate records and archives, such as records of board meetings, annual reports, etc.

Job requirements:

A Bachelor\'s degree in Law, Business Administration, or related fields. A Master\'s degree or professional certification is a plus.

A minimum of 5 years of experience in a similar role within a publicly listed company, with proven experience in corporate governance.

Extensive knowledge of the UAE regulatory and corporate governance requirements for listed companies, particularly the Securities and Commodities Authority and Dubai Financial Market.

Excellent communication skills, both verbal and written.

Strong organizational skills and attention to detail.

Ability to handle confidential information with discretion.

Proficiency in using Microsoft Office Suite and board management software.

Fluency in English is mandatory. Fluency in Arabic will be highly advantageous.
