Job Description

Purpose of the Job: The Board Secretary for Aramex PJSC (the “Company”) is independent of the Company management and who reports directly to the Chairman and Board of Aramex PJSC. The Board Secretary is responsible for managing, coordinating and recording internal communication, meetings and events between the Company, the Board and the Board Committees.
Job Responsibilities:
  • Plan and provide the agenda of Board and Committee meetings, manage meetings and ensure that quorum is achieved in accordance with the Company’s Articles and applicable laws.
  • Ensure all Board members views are understood and represented; manage dynamics of the Board while ensuring Board members comply with the actions approved by the Board.
  • Help manage Conflicts of Interest and Related Parties’ transactions matters in accordance with the Articles of the Company and the applicable laws and regulations.
  • Ensure management are informed and understand Board and Committee decisions and follow up on action points.
  • Conduct and keep records of all minutes of meetings, reports submitted to the Board and general Board correspondence.
  • Provide draft minutes for the Board for any input and ensure all minutes are signed off.
  • Register and maintain record of all Board resolutions and voting results.
  • Create an agenda for the year for the Board and its Committees in compliance with by Company’s bylaws and SCA regulations. Communicates with the CEO, Human Resources, Investor Relations, Finance, Legal, Risk and Compliance, Internal Audit and the Board Chair to set the agenda.
  • Manage activities related to Board meetings: Planning, preparing and notifying Board Members of Annual General Meetings and conferences and maintaining the minutes of the meeting.
  • Manage and coordinate the process pertaining to all general assembly/shareholders meetings of the Company. Maintain a record of all meetings’ minutes and follow up with the DFM and SCA on all required filings, disclosures and approvals in coordination with the General Counsel and the Company’s external communication team.
  • Assist with the preparation and amendment of organizational regulations, allocation of authority document, corporate governance and risk management guidelines.
  • Provide regular and structured review of governance documents, policies, processes and terms of reference to the necessary stakeholders including the General Counsel and the legal team.
  • Retain copies of the Company’s bylaws and the Board’s policy statements and update them as appropriate.
  • Ensure Board is operating in full compliance with the UAE Securities & Commodities Authority (SCA), and inform members of the board on any changes in governance and/or companies’ legislation or law, as necessary and helpful for the Board’s ability to exercise its duties.
  • Serve as one of the main point of contacts with SCA regarding all Company requests. Coordinate with the Board, CEO, General Counsel and external communication teams on all disclosures to regulatory authorities as required.
  • Be responsible for the preparation and issuance of the Company’s Corporate Governance Report.
  • Assist in the design and content of the annual report, particularly in the areas on corporate governance and compliance.
  • Maintain required SCA registers including up-to-date Insider Trading Register and Related Party Transaction Register.
  • Distribute as necessary to Restricted Persons the policy concerning trades during restricted periods.
  • Regulate the disclosure record of the Board and the Company in accordance with provisions stipulated the applicable legislation and relevant guides and provides assistance and advice to Board members.
  • Induct new Board members.
  • Manage secretariat budget, including Board remuneration fees, reimbursements, etc. ensuring necessary signoffs are in place.

Job Requirements:
  • 5+ years of experience
  • Law Degree or equivalent similar qualification
  • Certified by Hawkama/DFM
