Purpose of the Job:

The Acquisitions, Investments and Financial Advisory (\xe2\x80\x9cAIFA\xe2\x80\x9d) team is a fast-paced group that is closely involved in major transactions and strategic initiatives undertaken by ENGIE worldwide. As an integral part of the AIFA team, the Senior Financial Advisor is responsible for leading the valuation and risk analysis of new projects and for leading the structuring and execution of M&A and financing transactions in Middle East, Africa and India. The Senior Financial Advisor will also be responsible for the coaching and guidance of one or several AIFA Analysts/Financial Advisors and will participate to the decision-making process in respect of work allocation of those analysts, jointly with his/her fellow Senior Financial Advisors and the head of AIFA for this region.

Most of the time, the Senior Financial Advisor will be working in tandem with a Financial Analyst as part of a multi-disciplinary project team. The type of projects and underlying technology(ies) are extremely varied, ranging from power generation (wind, solar, gas) to water desalination, energy efficiency BOTs/PPPs, greenfield/brownfield projects, buy-side or sell-side M&As, negotiated deals/public tenders, etc. \xe2\x80\x93 offering a challenging and stimulating work environment to the potential candidate, with plenty of opportunities to develop him/herself professionally, including in respect of his/her management skills. The role provides significant exposure to ENGIE Middle East, Africa and India executive committee members and exposure to ENGIE Group senior management team.

Key Accountabilities:

The Senior Financial Advisor has two essential duties: (1) a leadership role on all AIFA related matters on the transactions on which he/she is assigned, (2) support role to all analysts working on his/her projects.

Business Appraisal:
  • Developing a critical understanding of the business which is being assessed, its main revenue and cost drivers, areas of risk and opportunities, competitive levers;
  • Advising internal stakeholders in understanding appropriate risk allocation, bankability of terms and conditions of various project contracts and provide general structuring advice and optimization of returns throughout the business development process;
  • Originating advisory/M&A mandates and subsequently support financial/bank buy/sell-side advisors;
  • On ad-hoc basis, co-lead M&A transactions with business development team / global M&A team;
  • Supporting (or leading as the case may be) the negotiations of essential project documents (joint development/shareholders agreements, power purchase agreements, gas transportation agreements, share purchase agreements, \xe2\x80\xa6) with partners, banks, tender/bid parties/participants (government/private entities/advisors);
Valuation:
  • Gathering and critically reviewing business case assumptions from multi-disciplinary team members involved in the project;
  • Building MS-Excel based valuation models and financial projections based on such assumptions, including accurate tax and accounting representations (with the support of internal and/or external tax and accounting experts);
  • Recommending appropriate approach for areas of uncertainty (macro-economic risks, interest rates, FX volatility, commodity risks, delay and performance LDs, bonds);
  • Preparing and documenting valuation analysis/reports with sensitivities analysis, applying the appropriate valuation methodology/standards in accordance with ENGIE\xc2\xb4s guidelines and presenting/discussing such results to/with the management team;
Financing:
  • Evaluating and recommending the most appropriate/competitive funding options for the projects (project or corporate finance, acquisition finance, bank loans, capital markets, multi-lateral agency/development bank funding, export finance, etc.);
  • Selecting supporting banks (including drafting and issuing RFPs), negotiating detailed terms and conditions;
  • Delivering full fledge financing solutions/products all the way to financial closing, including the drafting and negotiation of comprehensive finance documentation, coordination of lenders and their advisors\xc2\xb4 due diligence;
  • Delivering effective hedging solutions (interest rate / currency swaps, commodities options / forward, \xe2\x80\xa6);
  • Originating financial advisory mandates and subsequently manage financial advisors;
Market Intelligence
  • Maintaining market intelligence on M&A transactions, available financing/funding options, market trends, macro-economics,
  • Performing ad-hoc analysis to support information requests from ENGIE group (annual asset impairment testing, investment files look-backs / return on experience, sharing of lessons learned, \xe2\x80\xa6)
Managerial Duties: the Senior Financial Advisor will be assigned one or more analysts to manage outside the projects he/she is directly involved in. This will include continuous feedback, coaching and appraisal of assigned Analysts and allocation of work amongst the pool of Analysts (Jointly with the other AIFA Managers and the Head of AIFA Middle East, Africa & India)

  • Strong understanding of MS-Excel functions and prior experience in developing and maintaining MS-Excel-based financial models,
  • Strong focus on quality-control,
  • Excellent communication skills (orally and in writing),
  • Strong understanding of the practical aspects of accounting and tax matters
  • Strong understanding of cross border transaction structuring,
  • Ability to plan work and multi-task, under pressure or tight deadlines,
  • A structured approach to analyzing problems,
  • Inquisitive mindset and self-starting attitude, with an interest to go beyond the assignments which are being given to expand his/her horizon showing an entrepreneurial spirit,

Qualification and Experience:
  • Education: degree in economics, finance, business administration or engineering. Ongoing CFA, or CFA aspiration is a plus
  • Experience in a Project Finance, M&A or Corporate development environment at an investment bank, consultancy firm, private equity fund or corporation in the Power or Infrastructure Sector
  • Proven experience of non-recourse project finance/capital market/M&A transactions involving a certain level of complexity (e.g. cross-border/multiple currency/multiple funding sources/multiple partners)
  • Must have demonstrated the ability to manage a small team of outstanding professionals
  • Depending on prior experience, level of expectations/responsibility at which the Senior Advisor candidate will be recruited can be adjusted
Additional Information:
  • The Senior Financial Advisor will report to the Head of AIFA Middle East, Africa & India
  • The role is located in Dubai at ENGIE headquarter
  • Punctual travel may be required locally and internationally, usually for periods not exceeding a couple of days to a week
  • Fluency in English is required.
