JOB DETAILS

Job Title : Legal Advisor

Reporting to : MENA Legal

Subordinates : -

Age Requirement : NIL

Minimum Education : Academic Degree in Law At least Bachelor's Degree; Master's Degree is preferable

Years of Experience : At least 4-5 years of experience working in a similar legal role (law firm or in-house) preferable in the UAE/Abu Dhabi.

Certifications / Licenses : Admission to a recognized bar or license to practice is an advantage.

JOB DESCRIPTION

The incumbent shall provide all legal support through an advisory and consultation capacity on matters including but not limited to interpretation of laws, rules and regulations to protect and safeguard the legal and financial aspects of the organization, aid, review and negotiate transactional documents and provide thorough legal counsel on a variety of company related business issues. Ensures that adequate safety precautions are taken prior to any job.

Legal Advice · Take ownership of all legal advisory related tasks and deliver on-time and accurate solutions (including identifying legal risks and mitigation plans) by utilizing legal acumen, knowledge of relevant regulations and understanding of specific department requirements. · Stay updated on regulatory changes to identify required changes in legal risk perception, legal clauses or frameworks/policies. · Provide legal opinions on on-going issues and suggest proactive solutions that will eliminate or mitigate risks. · Identify and define legal strategies that will give an advantage to and facilitate the company's business and economic plan and agendas. · Evaluate and weigh multiple inputs and impacts of any decision or course of action by functional heads, and advise on such decision or course of action.

Contracts and Legal Communications · Take complete ownership to prepare, review and negotiate agreements and contracts carrying legal risks, and guide the development of relevant templates, forms, etc. to mitigate such legal risks in alignment to organizational and regulatory requirements. · Take complete ownership to create and review official notices and letter issues to the clients or service providers, such as termination, renewal or warnings. · Take complete ownership to create and review settlement agreement between the company and the clients or service providers.

Litigations · Advise functional heads on the litigation risks of possible business decisions, providing preventive counselling with respect to the legal risks associated with business practices. · Collaborate with external legal counsel/firms to appropriately address litigation and regulatory inquiries (including negotiating settlement agreements where appropriate), while maintaining cost-effectiveness in related operations and resource management. · Conduct an initial case review and investigation to determine the company's position and if enough evidence exists to warrant filing a lawsuit against clients or services provider and advise functional heads on the same. · Conduct an initial case review and investigation to determine the company's position on an existing lawsuit issued against the company, assess what evidence exists to defend the company and evaluate the company's decisions which lead to such lawsuit and determine if it is lawful, or a violation is in fact in place. · Document legal cases and refer to them for reference, to provide best-fit legal solutions for incidents, cases or advisory requests.

Corporate Governance · Address shareholder matters or legal issues related to JVs/fully owned subsidiaries/affiliates, to deliver appropriate legal solutions in accordance to existing agreements and organization's strategic objectives. · Work on shareholder affairs and review JVs/full owned subsidiaries/affiliates articles of association, shareholders and board resolutions and advise the company on its rights as a shareholder and recommend amendments to the venture management. · Hold custody of, and manage any changes, amendments or updates to, constitutional and corporate documents of designated affiliates (including, Articles of Association, By-laws, commercial registration, etc.), ensure their compliance with applicable law and overall consistency, manage communications with competent governmental authorities in this regard. · Provide all necessary support to the Public Relations Officer as required.

SKILLS AND COMPETENCY

Qualified candidates should possess the following skills and competencies: · Must be fluent in the English language; Fluency in Arabic Language would be an advantage · Must have strong IT skills · Must have an excellent analytical thinking, clear communication and can-do attitude
