Responsibilities
  • Legal Advice and Support: Offer expert legal counsel and guidance on a broad range of legal matters, including contracts, deal structuring, regulatory compliance, corporate governance, intellectual property, corporate law, commercial law, healthcare law, technology law, employment law, data protection and litigation.
  • Contract Management: Proficient in the review, drafting, and negotiation of a diverse range of contracts and agreements. Proven ability to assess potential risks and successfully negotiate and secure advantageous terms and conditions with third parties that effectively mitigate potential risks, minimize liabilities, ensure compliance with relevant laws and regulations and maximize value for the group.
  • Transaction Partner: Collaborate closely with commercial teams during all stages of the transaction process, from conducting pre-contract risk assessments to structuring and executing transactions and projects, as well as managing post-completion activities. Ensure smooth contract execution while minimizing legal exposure and maximizing value for the group.
  • Regulatory Compliance: Stay up-to-date with healthcare laws, regulations, and guidelines in the Middle East region, and ensure the group\xe2\x80\x99s compliance with all applicable legal requirements. Provides guidance on necessary policy and procedure adjustments and collaborates with colleagues across the organization to effectively respond to the ever-evolving legal, regulatory and ethical landscape.
  • Litigation and Dispute Resolution: Implement proactive strategies to prevent commercial disputes. Effectively manage disputes that may arise by diligently defending the group against claims or legal actions. Works in close collaboration with external counsel where relevant to oversee and manage complex litigation matters and disputes.
  • Enable Group Success: Strive to deliver legal advices that safeguard the group\xe2\x80\x99s strategic, legal and financial position, whilst fostering positive business relationships, and creating mutually beneficial agreements and partnerships that support the group\xe2\x80\x99s success.
  • Deliver Value Add Service: Devise creative solutions to enable the business to achieve its commercial objectives, whilst also protecting its legal and reputational interests. Consistently increase awareness and application of laws and regulations by employees to support the group in delivering on their targeted outcomes in a risk appropriate manner.
  • Risk Management: Identify and assess legal, regulatory and commercial risks, and develop risk mitigation strategies to minimize exposure to uncontrolled risk.
  • Managing External Counsel & Spend: Collaborate closely with external legal counsel to identify and evaluate legal issues, draft documentation, and effectively manage the scope and expenditure of external legal counsel mandates. Generally, manage external legal counsel to ensure the timely and cost-effective delivery of services in line with set standards, expectations and budgets.
  • Ensuring Operational Excellence: Continuously enhance and revise standard templates and processes, while actively seeking opportunities for standardization. Identify areas for ongoing improvement in systems, processes, and practices, incorporating global best practices to optimize business operations and enhance overall operational effectiveness of the legal team.
  • Collaboration: Proactively collaborate with internal and external stakeholders to identify issues and mitigate business risks. Promote the integrity, objectivity, and efficacy of the legal department across the group and in interactions with external parties (regulators, external counsel, courts etc.).
  • Legal Research and Analysis: Conduct in-depth legal research and analysis on complex legal issues. Stay informed about emerging legal trends and developments that may impact the group\xe2\x80\x99s operations.
  • Training and Education: Conduct legal training sessions and workshops to enhance legal awareness and understanding among employees. Develop and deliver informative presentations on legal topics relevant to the group\xe2\x80\x99s operations.
Qualifications

Education:
  • Law degree (LLB or JD) from an internationally reputable university
  • Admission to practice in the UAE, UK, USA or Australia
Experience:
  • Minimum of 3 and ideally 4-6 years of post-qualification experience in progressive and senior-level roles in a top-tier law firm and/or in-house experience.
Knowledge:
  • Strong knowledge in a range of legal areas including general corporate, joint ventures, commercial, technology matters and more.
  • Demonstrates a comprehensive understanding of the M42 Group and its operations, with a preference for experience in the healthcare sector (healthcare experience not mandatory).
  • Understands the commercial and financial rationale generally behind a range of legal structures and decisions.
  • Exhibits a good understanding of the areas of laws and regulations that underpin the healthcare sector.
  • Strong knowledge of the UAE\xe2\x80\x99s federal and Emirate laws, regulations and legal reporting standards.
  • Good knowledge of changing market trends, and ability to provide regular updates and insights.
Skills:
  • Analytical and Problem-Solving: Strong analytical and problem-solving skills are a critical part of this role. Ability to analyze problems, identify risks and develop effective solutions.
  • Drafting: Strong drafting skills are required, due to the high level of bespoke and complex deals and transactions across the group.
  • Communication: Excellent written and verbal communication skills, with a proven ability to effectively communicate complex legal concepts clearly and concisely to non-legal colleagues and stakeholders. Ability to present to senior management and executive-level stakeholders in a concise and clear manner.
  • Negotiation and Influencing: Strong negotiation and influencing skills, with ability to influence and achieve favorable outcomes while maintaining strong relationships with internal and external stakeholders.
  • Ethical Conduct and Professionalism: Uphold the highest ethical standards and maintain professional conduct, which is essential for a trusted Legal Counsel. Possess strong integrity, confidentiality, and discretion in handling sensitive information.
  • Adaptability and Agility: Given the constantly evolving nature of the legal landscape and our business group, the ability to adapt and demonstrate agility is essential.
  • Project Management: Ability to operate in a fast-paced environment while juggling competing deadlines and prioritizing issues and workstreams. Strong project management and time management skills required.
  • Interpersonal Skills and Relationship Building: Exceptional interpersonal skills, demonstrating the ability to work effectively as a team player and cultivate strong relationships with colleagues and stakeholders.
  • Business Acumen: Commercial mindset and ability to understand the commercial context in which legal decisions are made. Ability to provide practical advice and align legal strategies with the group\xe2\x80\x99s goals.
