Position Overview
Corporate Governance Manager in Abu Dhabi, UAE leads the development, implementation, and monitoring of ADNOC Group's corporate governance framework within the Oil & Energy sector. This role ensures full compliance with internal policies, regulatory requirements, and international best practices while supporting board governance, delegation of authority, and ethical business conduct.

Key Responsibilities

  • Develop and implement corporate governance strategies, policies, and procedures aligned with company objectives and shareholder directives.
  • Support the General Counsel in board secretariat responsibilities and coordination with Board Committees.
  • Monitor compliance with governance standards across business units and subsidiaries.
  • Maintain and update the corporate governance framework, corporate structure register, and document governance systems.
  • Liaise with Legal Department to ensure policies reflect changes in laws and regulatory requirements.
  • Oversee delegation of authority frameworks and coordinate periodic updates and approvals.
  • Establish and manage a central repository for governance policies and controlled documents.
  • Assess effectiveness of governance practices and prepare quarterly management reports on gaps and enhancement recommendations.
  • Coordinate implementation of governance-related audit findings and corrective actions.
  • Support CEO and senior leadership in formation of management committees and governance structures.
  • Develop governance awareness and training programs to strengthen organizational accountability and integrity.
  • Lead governance-related digital initiatives including policy management platforms and e-learning programs.
  • Ensure compliance with reporting obligations related to corporate governance matters.
Ideal Profile
  • University degree in Law, Business Administration, Finance, or related discipline.
  • Minimum 12 years of relevant experience, including at least 4 years in a managerial governance role.
  • Experience within oil and gas or retail sectors preferred.
  • Strong knowledge of corporate governance frameworks, regulatory compliance, and board governance practices.
  • Excellent computer skills and proficiency in digital governance platforms.
  • High level of English communication skills, both written and spoken.
  • Strong analytical mindset with attention to detail.
