Position Overview
ADNOC Group is seeking a Corporate Governance Manager to lead and manage processes related to Group Companies' Board meetings, written resolutions, and Executive Committee engagements. The role involves coordinating with internal stakeholders to highlight key issues, ensuring accurate documentation, managing governance workflows, and supporting ADNOC leadership with timely, high-quality inputs.

Key Responsibilities

  • Review and analyze Board materials covering HSE, financials, operations, projects, market outlooks, and people matters.
  • Gather input from internal stakeholders to identify themes, key takeaways, and concerns for ADNOC leadership.
  • Liaise with Asset Management, Group Finance, Corporate Governance, and other functions to propose leadership responses to Board resolutions.
  • Ensure Board minutes accurately reflect discussions, decisions, and required actions.
  • Coordinate submissions for Executive Leadership Team (ELT) meetings and prepare briefing notes for the Chairman.
  • Manage workflows and ensure adherence to governance processes in the Executive Office.
  • Maintain repositories of governance-related documents including policies, standards, and workflows.
  • Support ADNOC leadership in handling executive and Board-related correspondence and approvals.
  • Train and develop team members to meet governance and reporting objectives.
  • Provide inputs to budgets, performance management, and MIS reporting.
  • Drive process improvements and best practices for governance efficiency.
  • Ensure compliance with HSE and sustainability standards in all governance activities.
Ideal Profile
  • Bachelor's degree in Accountancy, Economics, Finance, or Business Administration.
  • Minimum of 12 years' experience in corporate support, governance, or corporate affairs roles, preferably in Oil & Gas.
  • At least 5 years of experience in Big Four or international consultancy firm and 6 years in managerial roles.
  • Proven experience engaging with senior executives and government stakeholders.
  • Strong organizational and time management skills, with ability to deliver under pressure.
  • Excellent communication and presentation skills.
  • Professional certifications in Business Administration, General Management, or Finance are preferred.
