Job Description

JOB PURPOSE
The jobholder is responsible to lead daily activities and team in line with ethics and compliance framework, standards, policies, and practices for Borouge, ensuring compliance with short and long-term strategies, business requirements, international regulations, and best practices. This role includes; developing, implementing, and overseeing corporate ethics and compliance policies; designing and delivering training programs; regularly monitoring and auditing internal processes; conducting comprehensive risk assessments; preparing detailed reports on compliance activities; investigating reports from whistleblowers; working closely with various departments to promote a culture of integrity and compliance; providing practical and timely guidance to the business; supporting the Ethics & Compliance' management with internal investigations; supporting and tracking the delivery of training programs; managing third-party due diligence programs; reviewing and resolving employee disclosures of conflicts of interest; and regularly collaborating with employees to understand business and compliance risks.
KEY ACCOUNTABILITIES
Ethics & Compliance Program Development
xefx82xb7 Establish, implement, and continuously improve the company's ethics and compliance framework to ensure alignment with international standards.
xefx82xb7 Develop and maintain policies, procedures, and guidelines to support Borouge's commitment to ethical business practices.
xefx82xb7 Ensure the Code of Conduct is well-communicated and adhered to across all departments to foster a culture of integrity.
xefx82xb7 Align compliance programs with UAE regulations and international best practices to mitigate legal risks.
xefx82xb7 Coordinate with senior management to integrate compliance into corporate governance to enhance accountability.
xefx82xb7 Foster a culture of integrity and ethical business conduct throughout Borouge to maintain a positive corporate image.
Training, Awareness & Communication
xefx82xb7 Develop and execute ethics and compliance training programs for employees, contractors, and stakeholders to ensure understanding of compliance requirements.
xefx82xb7 Conduct regular workshops and e-learning sessions to reinforce compliance policies and promote ethical behaviour.
xefx82xb7 Ensure all employees complete mandatory compliance training on schedule to maintain compliance standards.
xefx82xb7 Implement targeted training for high-risk departments, such as procurement and finance, to address specific compliance challenges.
xefx82xb7 Provide continuous education on emerging regulatory changes and industry best practices to keep employees informed.
xefx82xb7 Develop engaging compliance communication materials (newsletters, posters, and case studies) to raise awareness.
Risk Management & Compliance Monitoring
xefx82xb7 Conduct periodic risk assessments to identify compliance vulnerabilities and ethical concerns to proactively address potential issues.
xefx82xb7 Develop mitigation plans to address identified risks and improve compliance processes to enhance operational integrity.
xefx82xb7 Implement monitoring mechanisms to ensure adherence to policies and procedures to maintain compliance.
xefx82xb7 Oversee third-party due diligence processes to ensure vendors comply with Borouge's standards.
xefx82xb7 Regularly assess potential exposure to fraud, bribery, and corruption risks to safeguard the company.
xefx82xb7 Conduct surprise audits and compliance checks to identify and prevent unethical practices.
Investigations & Incident Management
xefx82xb7 Lead internal investigations related to ethics and compliance breaches to ensure confidentiality and integrity.
xefx82xb7 Oversee the whistleblowing mechanism to ensure timely responses to reported concerns.
xefx82xb7 Ensure fair and unbiased handling of complaints while adhering to due process to maintain trust.
xefx82xb7 Collaborate with legal and HR teams to implement corrective actions when policy violations occur to uphold standards.
xefx82xb7 Document and report findings of investigations to senior management and regulatory bodies to ensure transparency.
xefx82xb7 Analyse trends from past compliance incidents to propose preventive measures to avoid recurrence. J
Regulatory & Legal Compliance
xefx82xb7 Ensure Borouge remains compliant with UAE laws, international regulations, and industry standards to avoid legal repercussions.
xefx82xb7 Monitor legislative changes and update policies accordingly to stay current with legal requirements.
xefx82xb7 Serve as the primary point of contact for regulatory bodies regarding ethics and compliance to facilitate communication.
xefx82xb7 Collaborate with legal counsel to address compliance-related legal risks to protect the company.
xefx82xb7 Ensure data protection and privacy regulations (such as GDPR) are properly implemented to safeguard information.
xefx82xb7 Assist in the preparation of compliance reports required by government authorities to ensure regulatory compliance.
Corporate Governance & Reporting
xefx82xb7 Establish clear reporting lines for compliance-related matters to senior management to ensure accountability.
xefx82xb7 Provide periodic compliance reports to the Board of Directors and Audit Committee to keep them informed.
xefx82xb7 Implement internal controls to safeguard ethical business operations to maintain integrity.
xefx82xb7 Develop dashboards and KPIs to measure compliance effectiveness across the organization to track progress.
xefx82xb7 Collaborate with the finance and internal audit teams for cross-functional governance to ensure comprehensive oversight.
xefx82xb7 Document all compliance activities and maintain an organized repository of records to ensure transparency.
Stakeholder Engagement & Ethical Leadership
xefx82xb7 Engage with external regulators, industry groups, and compliance organizations to benchmark best practices to stay competitive.
xefx82xb7 Collaborate with suppliers, customers, and third parties to ensure ethical business conduct in all interactions to build trust.
xefx82xb7 Support leadership in fostering a corporate culture of ethics and integrity to promote ethical behaviour.
xefx82xb7 Act as a trusted advisor to executives and managers on compliance-related matters to provide guidance.
xefx82xb7 Lead ethics and compliance committees to drive organization-wide accountability to ensure adherence.
xefx82xb7 Represent Borouge in compliance and corporate governance conferences and events to enhance reputation
Minimum Qualification
xefx82xb7 Bachelor's degree in Law, or a related discipline.
xefx82xb7 Master's degree in Corporate Governance, Compliance Risk Management, related field, is preferred.
xefx82xb7 Fluency in English Language; written and oral
Minimum Experience & Knowledge & Skills
xefx82xb7 Minimum of 8 - 12 years of experience in compliance, legal, or ethical oversight roles, with at least 3-5 years in a project or people management occupations.
xefx82xb7 Experience in Public Listed Company (PLC).
xefx82xb7 In-depth understanding of industry-specific regulations, corporate governance, and ethical standards. Familiarity with the petrochemical sector is advantageous.
xefx82xb7 Strong analytical and problem-solving abilities, excellent communication and interpersonal skills, and proficiency in developing and implementing compliance programs.
xefx82xb7 Experience in ethics and compliance or legal function, executing compliance related programming, preferably in a compliance function of a multi-national company and publicly listed company.
xefx82xb7 Knowledge and experience in anti-bribery and corruption, competition, international sanctions and securities law and regulations.
xefx82xb7 Demonstrated experience in supporting the implementation of a compliance program such as investigations, third party due diligence, policies and procedures, training, and risk assessments.
Strong problem-solving methodology skills. With the ability to translate complex data into a simple solution with an analytical mindset.
xefx82xb7 Prior experience in forensic investigations and data analytics is a requirement
xefx82xb7 Understanding of USFCPA and UK Bribery Act is a requirement
xefx82xb7 Prior experience working with counterparts in the Middle East is an advantage
xefx82xb7 Experience in developing and implementing compliance frameworks, policies, and programs at an enterprise level.
xefx82xb7 In-depth knowledge of UAE regulations and international compliance standards (FCPA, UK Bribery Act, OECD Guidelines, AML, Anti-Corruption Laws).
xefx82xb7 Proven experience in conducting compliance risk assessments, audits, and investigations.
xefx82xb7 Hands-on whistleblower programs, fraud prevention strategies, and ethical training development.
xefx82xb7 Strong engagement with regulatory bodies, legal authorities, and internal/external auditors.
xefx82xb7 Expertise in third-party risk management, due diligence, and contract compliance.
Professional Certifications
Preferred to be certified in one or more of the following:
xefx82xb7 Certified Compliance & Ethics Professional (CCEP) by Society of Corporate Compliance & Ethics (SCCE).
xefx82xb7 Certified Fraud Examiner (CFE) by the Association of Certified Fraud Examiners (ACFE).
