Job Description

JOB PURPOSE: Prepare, review, negotiate and finalize the Charter Party Agreements, Contracts, Sub-Contracts and Addendums with Commercial Manager. Provides commercial interpretations, clarifications, and definitions to the direct manager. KEY ACCOUNTABILITIES: TENDERING: Check for new, Solicitation/Expression of Interests (EOI) and Tenders. Check requirements and conditions of the received tenders, verify and search for corresponding resources (s) required. Review the ITT's T&C and ensure safeguarding ADNOC L&S During the process, liaison/ co-ordinates with Operations and other relevant Departments within ADNOC L&S to formulate the pricing structure, discuss the contract prices with Senior Management and submits to Clients. Supervise the preparation of the documents requested by tender; submit tender's documents, following correspondence concerning subjected tenders. Assist Sales Manager to collate, review, distribute and manage Subcontractors and negotiate the best commercial value with lowest risk. Directly ensure all tender and contract development activities are in accordance with ADNOC L&S procedures. CONTRACTS and COMMERCIAL: Support the commercial process of Offshore Vessels owned and managed by ADNOC Logistics & Services that generates the Company revenue. Ensures the continuity of all Company Revenue by maintaining the validity of existing revenue/ earning contracts of the Company: Improves additional earnings for the Company by finalizing Variation Orders, Change Orders, Claims and Additional Works etc. from time to time. To improve the earnings of the Company, prepares proposals / tenders for all potential new business for the Company. Highlights Business Risks & potential loss areas to Management with recommendations to avoid the same. Advises the Team Leader as and when required on all contractual and legal aspects to avoid disputes with Clients & Subcontractors. Achieving the Departmental KPIs. Represents the Department on contractual matters as & when required. Maintains the secrecy & confidentiality of all data and information of the Department and Company. Document Control of all Contract Documents in Hard copy and Soft Copy in Shared Folder. Keep track of all Revenue & Expenditure Contracts and prepare Monthly Reports. Co-ordinate with all concerned and close Internal Audit findings on or before time. Co-ordinate with all concerned and support the ERM Risk Register to mitigate the Risks identified. Coordinate with internal teams for preparation of Pre-Qualification submissions, Expression of Interests, Commercial review of Tenders, evaluation of Contract Terms & Conditions, etc. for opportunities in UAE. Coordinate with internal teams for preparation of Technical and Commercial Proposals against all enquiries and tenders for Offshore & Diving Vessels. Analyze & Evaluate the Risks under all Contracts and Sub-Contracts. Coordinate, discuss and submit for review the ways to mitigate these risks. Follow up all contract related issues, claims, counter-claims and negotiations. Prepare requisite management reports concerning tenders and contracts. Assist in Tendering Process as and when required. KEY ACCOUNTABILITIES: Ensure continuity and improve additional revenue/earnings of the Company by maintaining all existing contracts of the Company. Evaluate and finalize contracts in best interests of the Company. Inform management on all contractual and legal aspects to avoid disputes with Clients. Achieve Departmental KPI's. BUDGETS AND OPERATIONAL PLANS Compile and provide input for preparation of the Department budgets and regularly monitor expenditure against approved the Section budget levels. Coordinate with Finance and all related Departments for Budgeting. Investigate, highlight and reconcile any significant variances to ensure effective performance and cost control. Health, Safety, Environment (HSE) and Sustainability: Support the institution of an HSE culture and ensure compliance with relevant HSE policies, procedures, systems & controls and applicable legislation and sustainability guidelines across the Section in line with international standards, best practices and ADNOC Code of Practices. Ensure adequate HSE training and induction for all Section employees to meet HSE standards. COMMUNICATIONS & WORKING RELATIONSHIPS: Internal All departments relevant to sales/ commercial activities External All ADNOC L&S Clients (Legal and Procurement) All ADNOC L&S Suppliers (Legal and Procurement) QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS: Minimum Qualification Bachelor Degree in (Business Administration/Oil & Gas Industry) Degree in Marine Law Minimum Experience & Knowledge & Skills Minimum 10 years of experience in commercial and chartering Experience in the Offshore Industry (Offshore/ Onshore) Regional Experience in GCC (with IOC/NOC/EPC) Understanding of the Market Trends Ability to identify issues and areas for improvement Ability to prepare models to assess profitability of identified opportunities. Ability to develop commercial strategies
