JOB PURPOSE:

The Specialist - Corporate Governance is responsible to support the Corporate Governance Team in creating, implementing and maintaining a best in class governance structure at the FAB Group that provides a high quality service to its stakeholders. The Specialist, Corporate Governance has a reporting line to the VPs, Corporate Governance and ultimately reports to the Head of Corporate Governance. The Specialist is a key administrative and technical support in maintaining an effective overall Corporate Governance framework for the Group that reflects the FAB Group\'s status as the second largest bank in the MENA region.

KEY ACCOUNTABILITIES:

Generic accountabilities
  • Assist the VPs, Corporate Governance in achieving the following:
  • Quality control and oversight of the management committee structure and undertake projects/initiatives as directed to achieve this aim;
  • Reviewing and updating training materials that support CG\'s continuing education program for executive and senior management.
  • Initial drafts of tasks identified for documenting in the CG Operations Manual.
  • CG support in respect of special projects undertaken by the Group, such as strategic entry into new markets;
  • Ensure the information in the Corporate Governance section on the Bank\'s website is accurate, monitored and checked on annual basis and whenever there is any change that requires update.
  • Oversight of administration regarding the reporting functions for international partners.
  • Support in relation to the corporate transactions for local and international entities, e.g. dissolutions, name change, change of directors, changes to articles of association.
  • New projects and entry into new international locations.
  • Roll out and maintenance of the Corporate Governance Framework to international locations.
  • Oversight of the regulator relationship with the Central Bank UAE and SCA on governance matters.
  • First draft of reports to be presented to the management under guidance from Corporate Governance VPs.
  • Maintain a record for all local and international regulations related to Corporate Governance across the Group.
Specific accountabilities
  • Provide the necessary support to the business in updating the records of FAB debt programmes (i.e. EMTN and Samurai) annually.
  • Annual review of the corporate records for the Bank\'s branches and subsidiaries.
  • Maintain the Corporate Governance Intranet site.
  • Maintain and update on a quarterly basis the Group Management Committee Structure and the bank\'s Entity Organization Chart.
  • Collating the quarterly reports to the Group Risk Committee.
  • Collating the quarterly reporting from the international partners.
  • Administer the annual Board/Board Committee and Tier 1 / 2 Management Committee self-assessment questionnaires.
Qualifications

Minimum Qualifications, Knowledge & Experience:
  • Bachelor\'s Degree or equivalent in Management, Banking or Finance, with 2 years\' experience, preferably with certification and or advanced courses in compliance and or corporate governance.
  • Fluent in English and Arabic and with sophisticated written and verbal skills;
  • Strong ethics and integrity and able to manage market and other highly sensitive information responsibly, maintaining absolute confidentiality;
  • This role is Emiratised and is open only for UAE Nationals
