Job Description

This role assists and supports the Senior Corporate Governance Advisor in his/her role being the leader of establishing a sound Corporate Governance culture in BSF, its subsidiaries and affiliates. The Corporate Governance Advisor also assists and supports in the implementation and maintenance of international best practices Corporate Governance standards across the BSF Groups. This role prepares Corporate Governance structure, assists and supports to establish Corporate Governance culture in BSF, its subsidiaries and affiliates. Follows-up for accomplishment of plans and objectives for the business, provides guidelines that BSF can be directed or controlled, it can fulfil its goals and objectives in a manner that adds to the value of the Bank and is also beneficial for all stakeholders in the long term and, is known to be one of the criteria that investors are increasingly depending on when deciding on investments. It is also known to have a positive influence on the share price of any company. Having a clean image on the Corporate Governance front could also make it easier for BSF to source capital at more reasonable costs.
  • Maintain up to date Corporate Governance documents including Corporate Governance manual, Delegation of Authority Manual, Board and Board committees’ charters and Board policies.
  • Follow up with the Corporate Governance team on the implementation of new regulations & regulations changes.
  • Assist the senior advisor in ensuring that the Bank complies with its Charters, policies and all Governance regulatory requirements.
  • Oversee the communication with other Bank’s Groups or Divisions that they fully achieve Governance requirements to meet Bank’s obligations and to minimize risk.
  • Maintain adequate trails and documentation to permit tracking of all Division activities.
  • Oversee and review of Disclosure related forms such as Related Parties, Conflict of Interests, Competing Business, Independence…etc
  • Review /approve the announcements on Tadawul website through IFSAH system & ensure its alignment with regulatory requirements and timings of disclosure.
  • Implement any special assignment or project given by “Head of Corporate Governance.
  • Review Board of Director annual report in line with required regulations.
  • Provide consultation when requested from a governance prospective.
  • Prepares Corporate Governance Structure within BSF, defines, contributes and manages developing documents & mechanisms to meet Corporate Governance regulations.
  • Manage the Corporate Governance operations, decision making framework and ensures all necessary information is provided to the Senior Corporate Governance Advisor.
  • Follows-up with regulatory agencies and internally within the Bank’s on all newly issued circulations and prospective regulations that will be issued in the future on corporate governance, and oversee the implementation of governance related regulations and laws in policies and procedures.
  • Assist to manage the implementation and maintenance of international best practices, Corporate Governance standards across the bank and its related subsidiaries, and ensure the Bank complies with its Corporate Governance disclosure obligations issued from regulatory agencies.
  • Assists the Senior Corporate Governance Advisor to best use of available resources, setting goals, determining actions and mobilizing resources to execute the actions in implementation to deliver strategic goals.
  • Review and coordinates with ‘Senior Corporate Governance Advisor’ in the preparation of the plans and budget for the Corporate Governance Department.
  • Overview the staff training and the development required based on the team performance. Propose specified development programs in specialized areas as well as overseeing the continues in-house staff enrichment through weekly meetings and small in-house coaching groups.
  • Keep abreast of local (SAMA) and international rules practices, market trends in the Banking field to ensure BSF is well aware of new regulations.
  • Implement any special assignment or project given by “Head of Corporate Governance”
  • Advice on the process of monitoring documents approved on the BoD/BoD committees level by communicating with the relevant stakeholders to update their documents

  • Bachelor degree in Business Administration, Law, Finance and Accounting or similar field
  • 7-8 years of banking experience or similar field
  • Working Experience in Corporate Governance.
  • Proven working knowledge of current Corporate Governance regulations and best practices.
