Job Purpose
To perform duties for ENECs legal department, such as conducting a variety of research and analytical assignments, drafting legal and administrative documents, conducting reviews of relevant legislation, preparing reports and taking meeting notes to support the smooth running of the department and assigned committees.
Key Activities, Responsibility & Accountability
Activity:Transactional and Operational Support
Responsibility:
Responsible for conducting legal and factual research and ensuring proper electronic and hard copy document management.
Coordinating management of legal document review processes with external parties and internal version control for document negotiation.
Proofreading and editing draft legal agreements, including management of inter-department inputs into agreement terms and appendices.
Responsible for drafting cover letters for submission to third party legal counsel and consultants.
Engaging with administrative staff and junior attorneys internally and at third parties to provide required information on and explanation of ENEC and ENEC subsidiary corporate information, policies and procedures to facilitate due diligence and process requirements.
Assisting in setting up project plans and monitoring and updating plans for the purpose of due diligence tasks, including reviewing materials and documents.
Accountable for setting up and managing legal checklists for major projects including negotiation of complex project agreements involving multiple parties.
Carrying out legal searches and obtaining laws using databases such as Westlaw, collating regulatory filings, submissions and reviewing results of searches to ensure that the legal database and research is up to date.
Attending meetings and preparing minutes of meeting/actions and following up on all relevant points of discussion.
Supporting legal counsel in collating comments received from external counterparties, assisting in carrying out amendments through into documents, and proof reading for quality assurance purposes.
Providing legal support at signings/closings and carrying out post-completion tasks and updating transaction briefing documents by summarizing transitions for effective follow up of legal procedures
Responsible for coordinating with seconded consultants who support the project, by managing meetings, as well as preparing and drafting internal and external correspondence to support the smooth running of the department
Assisting in the preparation of legal contracts, deeds, leases, opinions and other legal papers of a routine nature for dealing with external legal agencies
Claims Management
Responsibility:
Carrying out searches and collation of documents for claims management, and tagging of documents for relevance, issues and legal privilege
Assisting legal Counsel in preparing case files and memoranda for briefing external legal consultants
Management of litigation support databases and Claims E-Room system.
Assisting legal counsel with management of external lawyers, claims consultants and experts
Corporate Governance
Responsibility:
Acting as a key focal point for coordinating assigned committees meetings and supporting the secretary and members of those committees in preparing the agenda, meeting materials and minutes of meeting, including following up on actions items and liaising with the committee secretaries
Policies and Procedures
Responsibility:
Assisting in drafting the legal departments policies and procedures to ensure that they are in line with ENEC guidelines
Supporting the implementation of the legal departments policies and procedures and such other tasks as may be required to support achievement of department objectives
Assisting in continuous development of standard templates and formats for legal documents
Stakeholder Engagement
Responsibility:
Facilitating communication both internally and externally in order to build and nurture mutually beneficial working relationships
Follow all relevant company's HSE policies, processes, procedures and instructions to ensure HSE compliance in all aspects of work in accordance with sound management practices by applying these HSE policies and procedures to self and others to take reasonable care for the health and safety of people, or the environment, who are at the employees place of work who may be affected by the employees acts or omissions at work.
Follow all relevant Security policies, processes, procedures and instructions to ensure security compliance in all aspects of work, by applying them on self, others and organization assets.
The incumbent is expected to perform standard activities as per attachments 4 & 5 in the procedure (relating to Health, Safety and Environment, Security and Business Continuity, People Management, Excellence and Quality Management

Diploma in Law or equivalent paralegal training program or at least five years post undergraduate degree at a law practice and/or in-house legal department
