What's the role?

This position, reporting to the Head of Legal Oman, is accountable for the pro-active delivery of timely, fit for purpose, integrated legal advice, and support to the Oman Shell businesses in Oman with a focus on new business, growth opportunities and the development of major projects. The role also from time to time may support Shell business in the Middle East and North Africa region. Shell has a long-standing and growing business in the Oman heartland including Shell's interest in Petroleum Development Oman, Oman LNG and Shell Oman Marketing Company, Shell's operated production asset Block 10, various exploration blocks including Block 11, Shell's role in the Green Energy Oman Project and Shell's role in developing other downstream businesses.

To contribute to Legal's Strategic Intent, this position:

Provides legal support to the Oman Shell heartland with significant existing material business contributing to the Group's cashflow and significant new business and project development opportunities supporting the Sultanate of Oman's 2040 Vision and the Group's Powering Progress Strategy;

Prepares for future risks and opportunities and protects Shell's reputation and businesses from existing and emerging risks, balances business value and risk and, where necessary, intervenes to ensure compliance with Shell's Business Principles and Code of Conduct; and

Delivers all aspects of legal services with operational excellence, supported by a culture that embeds and sustains differentiating behaviours and networked performance.

Accountabilities

Act as lead lawyer for substantial and complex new business and project developments in Oman including in respect of the Green Energy Oman project.

Provide legal support from time to time as may be required for new business, acquisitions and divestments and project developments in the Middle East and North Africa region.

Represent Shell in high value and multi-faceted negotiations with the Oman Government including the Oman Government entities, Hydrom, the Ministry of Energy and Minerals and the Oman Investment Authority.

Represent Shell in high value negotiations with our key business partners including OQ, InterContinental Energy and Enertech in the Green Energy Oman Consortium.

Form strong and collaborative professional working relationships with our key Oman Government stakeholders and business partners including trusted and close rapport with legal counterparts. Act as a key "on the ground" member of Shell's deal teams, many of which are based outside of Muscat, Oman.

Drafting and review of significant, detailed and complex suite of agreements which will govern Shell's role and interest in new business and projects over many years, if not decades. Ensure that such agreements appropriately allocate legal risk and that Shell has appropriate rights to protect its capital investment and reputation and deal with risks arising over the life of the relevant project.

Ensure that legal considerations, including mitigation of legal risks identified, are taken into account in operations, planning activities, contracting, new business/project development, including relations with relevant third parties, at all times consistent with professional standards, legal obligations, the Shell General Business Principles and the Shell Control Framework.

Ensuring optimal use of internal and external legal resources to ensure provision of professional, timely, cost effective and commercial legal advice and support, balancing both risk and value including actively considering who is best placed in the legal team to provide support including appropriate use of SBO legal colleagues.

Monitor relevant legal developments and communicate these to the business and functional directorates including specifically in regard to the development of policy and regulations relating to the energy transition including those in the key customer markets of Europe and Asia and also in Oman and the region.

Create a positive, proactive culture encouraging a learner mindset, high performance and collaboration with a focus on continuous improvement.

Contribute to the broader Shell Group business, reputational and stakeholder agenda.

The role does not have any direct reports, but the incumbent is expected to coach and mentor more junior legal colleagues in the Oman Shell team and especially assist such colleagues in the navigation of the Shell system and support such colleagues in building their network and reputation in Shell.

What we need from You

Excellent legal and strategic judgment, demonstrated learner mindset, excellent business partnering and stakeholder management skills in combination with high levels of collaboration and networked performance.

Experience of managing major projects and transactions.

Excellent contract drafting skills and legal analysis.

Incisive grasp of legal issues and capability to expand knowledge in relevant and evolving areas of law.

Good commercial mind and the ability to handle multiple demanding clients in a project environment which requires a quick and thoughtful legal touch across several legal disciplines.

Resilience to keep a calm and balanced approach and maintain a robust stance in respect of allocation of risk for the Group, while balancing that with commercial and strategic drivers.

Ability to clearly explain legal risks, develop sound mitigation strategies and find acceptable commercial solutions.

Ability to establish targeted and sustainable relationships with key external and internal stakeholders, often at senior levels and with diverse backgrounds, including senior government officials and senior business and legal representatives.

The ability to work in less well-defined legal environments and which is dynamic and changing.

Law degree, English law skills will be useful.

Fluent written and spoken English, Arabic language skills will be an asset.

Special Challenges

The job requires being resilient under pressure, having the ability to challenge the status quo, advocating an independent legal view and holding the ground with internal and external stakeholders.

The business includes high stake agreements with host governments. Careful risk analyses are required with an ability to think flexibly, manage competing interests and focus on the real issues, applying a "value and risk" lens.

The role requires the ability to provide direct "hands on" legal support to key projects under tight deadlines. Excellent legal skills in contractual drafting, project management, regulatory and compliance issues required.
