Overview

We are seeking a highly skilled and motivated Senior Contracts Manager to join our growing legal team. As a key member of our broader legal team, you will play a critical role in overseeing and managing all aspects of contracts management, negotiation, administration and compliance and provide guidance to a broad of range of companies and stakeholders in our group. You will play a vital role in ensuring the successful execution of contracts, mitigating risks, and maintaining strong relationships with our partners and vendors. You will also play a key role in developing and implementing various legal operational transformation initiatives to ensure we achieve and maintain operational excellence.

Responsibilities
  • Contract Management: Oversee the entire contract lifecycle, including drafting, review, negotiation, and execution of various types of contracts, such as vendor agreements, consultancy service agreements, revenue agreements, distribution agreements, laboratory services agreements and clinical trial agreements.
  • Risk Assessment & Negotiation: Proven ability to assess potential risks and successfully negotiate and secure advantageous terms and conditions with third parties that effectively mitigate potential risks, minimise liabilities, ensure compliance with relevant laws and regulations and maximise value for the group.
  • Contracts Partner: Collaborate closely with commercial teams during all stages of the contracts process, from conducting pre-contract risk assessments to structuring and executing contracts, as well as managing post-completion activities. Ensure smooth contract execution while minimising legal exposure and maximising value for the group.
  • Contract Administration: Maintain and consistently improve our standardised contract management processes and systems, ensuring accurate documentation, filing, and maintenance of contracts throughout their lifespan.
  • Compliance Monitoring: Support the business to monitor contract performance, track deliverables, and ensure compliance with contractual obligations, including reporting, milestones, and key performance indicators (KPIs).
  • Litigation and Dispute Resolution: Implement proactive strategies to prevent commercial disputes. Effectively manage disputes that may arise by diligently defending the group against claims or legal actions. Works in close collaboration with external counsel where relevant to oversee and manage complex litigation matters and disputes.
  • Vendor and Partner Management: Establish and maintain effective relationships with vendors, suppliers, and strategic partners, ensuring adherence to contractual terms and optimizing business partnerships.
  • Contractual Analysis and Reporting: Conduct regular analysis of contract terms, trends, and performance metrics, providing reports and recommendations to senior management for informed decision-making.
  • Enable Group Success: Strive to deliver contracts that safeguard the group\xe2\x80\x99s strategic, legal and financial position, whilst fostering positive business relationships, and creating mutually beneficial agreements and partnerships that support the group\xe2\x80\x99s success.
  • Managing External Counsel & Spend: Collaborate closely with external legal counsel to identify and evaluate legal issues, draft documentation, and effectively manage the scope and expenditure of external legal counsel mandates. Generally, manage external legal counsel to ensure the timely and cost-effective delivery of services in line with set standards, expectations and budgets.
  • Ensuring Operational Excellence: Continuously enhance and revise group templates and processes, while actively seeking opportunities for standardisation. Identify areas for ongoing improvement in systems, processes, and practices, incorporating global best practices to optimise business operations and enhance overall operational effectiveness of the legal team and the contracts lifecycle.
  • Legal Research and Analysis: Conduct in-depth legal research and analysis on complex legal issues. Stay informed about emerging legal trends and developments that may impact the group\xe2\x80\x99s operations.
  • Training and Education: Conduct contracts training sessions and workshops to enhance awareness and understanding of contractual processes and standards among employees. Develop and deliver informative presentations on contractual topics relevant to the group\xe2\x80\x99s operations.
Qualifications
  • Law degree (LLB or JD) from an internationally reputable university
  • Admission to practice in the UAE, UK, USA or Australia
Experience:
  • Minimum of 6-12 years of progressively responsible experience in contract management, preferably in the healthcare or related industry. Experience in a multinational organisation is a plus.
Knowledge:
  • Strong knowledge of contract law, commercial agreements, and legal frameworks, with a proven track record in contract drafting, negotiation and risk assessment.
  • Familiarity with regulatory compliance requirements in the healthcare sector and a demonstrated ability to ensure contractual compliance with legal and ethical standards.
  • Demonstrates a comprehensive understanding of the business and its operations, with a preference for experience in the healthcare sector (healthcare experience not mandatory).
  • Exhibits a good understanding of the areas of laws and regulations that underpin the healthcare sector.
  • Strong knowledge of the UAE\xe2\x80\x99s federal and Emirate laws, regulations and legal reporting standards.
Skills:
  • Analytical and Problem-Solving: Strong analytical and problem-solving skills are a critical part of this role. Ability to analyse problems, identify risks and develop effective solutions.
  • Attention to Detail: Meticulous attention to detail and strong organizational skills to manage multiple contracts simultaneously, ensuring accuracy and completeness.
  • Drafting: Strong drafting skills are required.
  • Communication: Excellent written and verbal communication skills, with a proven ability to effectively communicate complex concepts clearly and concisely to non-legal colleagues and stakeholders.
  • Negotiation and Influencing: Strong negotiation and influencing skills, with ability to influence and achieve favourable outcomes while maintaining strong relationships with internal and external stakeholders.
  • Project Management: Ability to operate in a fast-paced environment while juggling competing deadlines and prioritising issues and workstreams. Strong project management and time management skills required.
  • Interpersonal Skills and Relationship Building: Exceptional interpersonal skills, demonstrating the ability to work effectively as a team player and cultivate strong relationships with colleagues and stakeholders.
  • Business Acumen: Commercial mindset and ability to understand the commercial context in which legal decisions are made. Ability to provide practical advice and align legal strategies with the group\xe2\x80\x99s goals.
  • Leadership Skills: Demonstrated leadership capabilities, with the ability to manage a team, provide guidance, and mentor junior contract professionals.
