Job Description

This position will require a minimum of 3 days per week on-site at our Clearwater, FL office and other days will be flexible to work off-site.

Provide legal advice and counsel to all levels of staff and ensure that Credit Union operations are in accordance with the standards established by law and regulation, while also protecting the organization's legal interests.

Draft, negotiate, analyze, and review contracts, such as master services agreements, non-disclosure agreements, statements of work, software as a service or SaaS agreements, and service level agreements. Evaluate various Credit Union disclosures (i.e. Truth in Savings, Truth in Lending, Commercial, etc.) for consistency and updates to laws and regulations. Perform ancillary matters related to contracts, including advising departments on contract interpretation and legal ramifications of contract terms, responding to due diligence requests, and drafting and responding to demand letters. Advise business lines on regulatory aspects of new product development, such as the drafting of disclosures and agreements, and revising policies and procedures. Review marketing collateral, advertisements and notifications to the public for regulatory compliance and compliance with social media platform terms and conditions. Form and/or participate in cross-departmental project teams and provide legal and compliance advice to all areas of the Credit Union that adhere to state and federal laws and regulations. Review and advise business lines on legal documents, such as powers of attorney, court orders, subpoenas, guardianship appointments and letters of administration. Review employment matters and conduct legal research. Negotiate settlements of civil disputes. Draft legal correspondence with other institutions in recovery efforts in the Risk Management area. Track, pursue and enforce repayment agreements related to fraud, including wage garnishments and liens. Assist the Credit Union in review of new and existing policies and procedures, products, services and other materials to ensure compliance with Credit Union bylaws, federal and state statutes, laws, regulations, acts, etc. Recommend legal and compliance mitigation controls and risk measurements as well as identify and assess legal and compliance risks. Monitor and analyze developing trends and changes in the regulatory compliance, laws, rules, and regulations, and advise management of the operational impact of such trends and changes. Independently research, advise, and counsel staff and management on regulatory and compliance requirements related to operations, as well as serve as a subject matter expert, as necessary, on compliance-related matters as projects and initiatives are introduced, implemented, and revised. Analyze the probable outcomes of cases, using knowledge of legal precedents and determine advisability of defending or pursuing lawsuit. Assist in the oversight and tracking of issues and remediation plans and escalates unresolved items for reporting to the management team. Assume additional responsibilities and lead special projects as assigned.

Requirements

Experience or knowledge of laws and regulations affecting financial institutions or other fields such as technology, real estate, collections, or compliance preferred. Excellent attention to detail Strong interpersonal skills Ability to travel as needed to successfully perform position responsibilities, and handle disruptive work schedules, deadlines, and unpredictable events.
