Job Description

Objectives of the role:

Leading and advising on all legal matters in relation to the Company's operations including new projects and existing projects. Building and maintaining effective relationships with external legal counsel and equity partners. Sharing of legal knowledge with other members of the Company and its group companies.

Manage legal risk across the Group (all functions and the Board) and its portfolio of companies (across all sectors and geographies) as well as their investments, projects, and assets. To act as legal adviser to the Group. The role involves providing legal advice across a wide range of legal disciplines and ensuring compliance with applicable law and regulations across the Group.

Core Responsibilities:

  • Support the Group (all functions and the Board) in developing and maintaining a legal framework for and ensuring the provision of high quality legal support to the whole organization.
  • Assist the organization in understanding its legal risk appetite and support in the development and implementation of all legal policies and procedures across the whole organization that enable it to deliver on its commercial and customer priorities whilst ensuring compliance with applicable laws and regulations and related policies and procedures.
  • Support the Group (all functions and the Board) in maintaining corporate governance best practices across the whole organization.
  • Maintain the Company corporate register and copies of the corporate registers of the Group related to Legal Services.
  • Provide legal advice to the Group (all functions and the Board) including drafting and/or reviewing all contracts related to Private or Semi-Private Resort and Country Club or Sports Club, investment, procurement of services and assets, employment etc. to ensure adherence to legal framework and regulatory guidelines.
  • Ensure adherence to applicable laws and regulations, international best practice standards, policies and procedures to safeguard company from material legal risk.
  • Oversee the provision of legal and regulatory advice in order to minimize financial, legal, and reputational risks.
  • Assist the Group (all functions and the Board) in representing the organization in litigation, arbitration and other legal proceedings to safeguard the interests of the whole organization.
  • Assist the Group (all functions and the Board) by keeping abreast of new legislation and regulatory developments that may impact the whole organization and advice on how to comply with such new legislations and regulations.
  • Prepare, review the Legal Standard Documents and Original Contract Register and establish template standard documents for frequently used documentation.
  • Ensure original documentation entered into by the company is maintained in safe custody to comply with applicable internal policies and procedures.
  • Work collaboratively with the members of Legal and Risk department focused on non-Legal Risk to provide support from a legal and regulatory perspective.
  • Stay abreast of new laws and regulations through continuous legal training.
  • Identify opportunities to contribute to organizational and departmental change initiatives, programs and projects taking into account best practice and standards in the business environment.
  • Representing the Group (all functions and the Board) in dealing with external legal parties/resources and handling high-value transactions and disputes.
