The Role

• A legal Counsel uses legal practice knowledge to enhance ONPASSIVE\xe2\x80\x99s efficiency and profitability. Manage risks by consulting on program and legal-related issues. \xe2\x80\xa2 Help to meet objectives by analyzing problems and developing solutions. Other than negotiating, drafting, and reviewing legal documents & agreements/contracts, also conduct legal research and analyze: \xe2\x80\xa2 Provide effective legal advisory services and continuous support on any arising issues that may impact the day-to-day operations within the various functions residing within the Company, suitable to their respective diverse activities, to ensure timely resolution of any outstanding legal matters \xe2\x80\xa2 Act as the lawyer to the Company on all but not limited to commercial / corporate / project / finance matters including drafting, reviewing and/or approving construction contracts, service contracts, commercial contracts, consultancy contracts, employment contracts, loan agreements, joint ventures, MOUs, NDAs, regulatory matters, intellectual property, IT and trade issues. Ensuring contractual obligations adhere with the UAE laws and regulations and in line with Company\'s policies to reduce the company\'s liability and protect its interest. \xe2\x80\xa2 Upon further assignment from Head of Legal to Support and participate in negotiations and clarifications on behalf of other departments to ensure the effective management of relationships between the business and third parties/ stakeholders and accordingly draft contracts conditions \xe2\x80\xa2 Assist in the representation of and preparation of litigations filed against the Company. \xe2\x80\xa2 Review remedies and resource actions against contractors for breaches of a material nature that may impact the business and provide legal advice where applicable \xe2\x80\xa2 Address and review any nullifications of contractual services with the respective customer/supplier and ensure contractual obligations are adhered to in line with any other applicable laws and regulations \xe2\x80\xa2 Coordinate with the concerned department to prepare back charges and warranty claims against contractors and consultants \xe2\x80\xa2 Provide legal advice on land access rights, 3rd party obligations and issuing of any regulatory permit, where applicable \xe2\x80\xa2 Oversee the completion and handover of projects from a legal perspective to ensure that conditions are met, and possession is effectively transferred \xe2\x80\xa2 Provide practical sound legal advice and counsel to our Sales and other internal departments, management and business leaders on all legal issues / matters concerning the relationship with Local and multinational clients and vendors / Founders, including but not limited to drafting, reviewing, analysing and negotiating all kind of complex commercial agreements under various jurisdictions and legal systems. \xe2\x80\xa2 Proactive legal support of the company in all countries where business is done in all aspects on a global level. \xe2\x80\xa2 Advice and counsel on day-to-day issues as well as strategic and systemic initiatives \xe2\x80\xa2 Business-oriented analysis of contractual and corporate legal risks in a fast-growing, completely diverse environment, ensuring regulatory compliance. \xe2\x80\xa2 Support all the team for a various function under the legal department once needed. \xe2\x80\xa2 Monitoring of litigation matters and extrajudicial claims and disputes \xe2\x80\xa2 Negotiation of settlement agreements, prevention of lawsuits, mitigation of potential disputes

Requirements

• Bachelor\xe2\x80\x99s degree of Law. \xe2\x80\xa2 To be registered in Bar Association. \xe2\x80\xa2 Extensive Experience in contract negotiation command of international and local laws, regulations, and best practices \xe2\x80\xa2 5-8 years of relevant experience
