Job Purpose

The Legal Counsel is mainly responsible to handle, under the supervision of the Legal Director or the Senior Legal Counsel (as applicable), various legal aspects of Majid Al Futtaim Properties\' communities business. This includes providing sound and cost-effective legal advice and services to Majid Al Futtaim Properties Management / CBU with respect to business growth and continuity.

Job Details - Key Responsibilities and Accountabilities

• Assist the Legal Director and the Senior Legal Counsel in providing timely legal advice to the leadership team regarding CBU legal matters; outlining the legal implications of the issues that Majid Al Futtaim Properties faces in carrying out its business; suggesting alternatives, if necessary, in order to ensure Majid Al Futtaim Properties interests are protected against any potential legal risk/liability and/or detrimental reputational risks.
• Drafting and review of contracts and legal documents relating to Majid Al Futtaim Properties business, and continuously updating and adding to the templates in use, depending inter alia on the needs of the business, change in legislation and legal risk analysis. Such contracts and documents include without limitation: share and purchase agreements, non-disclosure agreements, undertaking letters, lease agreements, settlement agreements, memoranda of understanding, shareholders\' agreements, articles of association, and commercial agreements of various types such as agreements for supply of goods and services.
• Support the Legal Director Legal and the Senior Legal Counsel on all complex and other legal matters and playing a role of risk mitigation and prevention of disputes with third parties in relation to Majid Al Futtaim Properties business.
• Assist and support the Legal Director and the Senior Legal Counsel as well as internal stakeholders in negotiations with third parties providing advice on the legal implications and options for concluding the negotiations with maximum protection of Majid Al Futtaim Properties interest.
• Support and assist internal stakeholders on requests relating to CBU legal matters including but not limited to employment legal matters.
• Liaise with external law firms within the guidelines provided from time to time by the Legal Director or the Senior Legal Counsel, to provide necessary support and advice, due diligence reviews in relation to CBU.
• Assist in handling of legal actions of all types, filed by or against Majid Al Futtaim Properties or any of its affiliates, and liaising with external law firms for such purpose, briefing, supervising and managing external law firms, reviewing all the memoranda prepared by external law firm and providing feedback.
• Support and assist on litigation of all types facing Majid Al Futtaim Properties before judicial and arbitral authorities in every jurisdiction, handling of disputes in and outside court in liaison with external law firms and providing recommendations on the appropriate steps to be taken, and implementation thereof.
• Monitor and report on key legal issues, material legal matters and relevant legal developments and provide updates on new laws and regulations.
• Be the advocate and ambassador of aligning and cascading Majid Al Futtaim Properties values.

Qualifications, Experience & Skills

Minimum work experience

• Minimum 5 - 7 years of progressive work experience in a reputed law firm or real estate development company, handling legal matters in GCC in a similar role.
• Sound understanding of relevant local and international laws including but not limited to corporate, real estate, civil, commercial, penal and intellectual property.

Minimum qualifications/education

• Degree in Law from a reputable university.
• Fluent in Arabic & English.
