The AMEA Region today operates close to 100 vessels and employs more than 1,000 colleagues. The region has a strong growth focus with an extensive project pipeline and a defined ambition of doubling the size of the business in the foreseeable future. The regional headoffice is located in Dubai and comprises a truly international team.
Based in Dubai and reporting to the Regional Head of Legal, you will be involved in a wide and challenging range of business issues throughout the organisation and will co-operate closely with your manager and external advisors to deliver a variety of legal services to the organization and to colleagues in our operations around the AMEA Region.

Work both independently and as part of a team, playing a critical role in supporting the Commercial and Operations team with Legal/Commercial enquiries, negotiation, tender drafting etc
Acquire in-depth understanding of emerging markets in Africa, the Middle East and Asia and
Develop understanding of all solutions offered by SVITZER and the Towage industry in general.
Key Responsibilities
The Legal Counsel will be responsible for:
  • Working with the Regional Legal Counsel in assisting the Svitzer AMEA regional team with negotiating, reviewing and drafting a broad range of legal documents relevant to the business operations of SVITZER in the AMEA Region, responding to general legal enquires and handling of disputes.
    • In close partnership with the commercial and tax teams, reviewing and qualifying tender documents to prepare bid submissions for new business opportunities.
      • Investigating corporate requirements in various jurisdictions in the AMEA region and incorporating new legal entities in the region.
        • Drafting and negotiating various contracts and handling internal commercial enquires pertaining to existing contracts.
          • Managing corporate governance matters related to AMEA Region legal entities and Joint Ventures, through management, preparation of POAs, board minutes and resolutions.
            • Reviewing, drafting and negotiating charter party agreements, including BIMCO terms.
              • Managing vessel sale/purchase process, including preparing vessel sale agreements, managing flagging/re- flagging requirements.
                • Assisting with M&A activities across the AMEA Region.
                  • Coordinating with external legal counsel. Overseeing and reviewing work carried out by external legal counsel and acting as a liaison between external counsel and colleagues.
                    • Creating and maintaining a comprehensive legal filing system and document database for SVITZER's operations in the AMEA Region.
                      • Managing and recording of the ongoing corporate affairs of all companies within the AMEA Region.
                        • Working with the Svitzer compliance team and Regional Legal Counsel to ensure implementation, development and monitoring of compliance processes, including the company internal rules, guiding the business on compliance issues and related policies.
                          • Reporting to the Group on relevant issues as and when required, including managing and updating the Group corporate database for all SVITZER entities within the AMEA Region
                            Who we are looking for
                            Education:
                            • Law degree is essential plus current qualification to practice law from a recognized legal regulatory body.
                            • Minimum 5+ year post qualification experience.
                            • Excellent written and spoken English. French or Portuguese language skills would be an advantage.
                            • Experience working in the Middle East and currently based in the region preferred.
                            • Knowledge of cross border corporate and commercial transactions and having undertaken work of an international standard.
                            • Maritime law experience preferred.
