• Research and analyze existing and proposed laws, regulations and industry standards affecting ADX group\xe2\x80\x99s operations.
• Assess impact of regulatory changes on the ADX group\xe2\x80\x99s rules, policies, procedures and operations.
• Assist in the design and implementation of the ADX group\xe2\x80\x99s compliance monitoring program to assess adherence to applicable laws, regulations and industry standards, as well as the ADX group\xe2\x80\x99s rules, polices and procedures.
• Collaborate with compliance and business units to provide guidance and support on regulatory matters.
• Prepare reports, presentations and other documents to communicate regulatory updates, changes, and their implications. Guide the effective maintenance of up to date knowledge of the requirements of all relevant government entities to ensure that ADX is made fully aware of any relevant amendments or revisions to new or existing legislation, laws, rules, regulations, procedures or protocols.
• Oversee the identification of potential areas of risk, development and implementations of processes and systems for resolution of problematic issues and provide general guidance to relevant stakeholders on how to avoid or deal with similar situations in the future through effective communication and training.
• Prepare, develop and maintain ADX group rules, policies and procedures by interpreting regulatory requirements, monitoring regulatory developments and assessing their impact on the ADX group\xe2\x80\x99s operations.
• Build and maintain relationships with regulatory authorities, and engage with internal and external stakeholders on regulatory matters.
• Educate and train staff on regulatory matters relevant to the business and operations.
• Update on a timely basis the database of all relevant legal and statutory regulations to provide a convenient source of reference on legal requirements and obligations.
• Assist in conducting research to identify global best practices and provide recommendations to enhance the regulatory framework.
• Monitor and interpret the applicable laws and regulations which might impact ADX group\xe2\x80\x99s business and operations and advise on modifications to legal policies, procedures, etc.
• handling disputes and litigations and providing support on transactions to ensure the mitigation and elimination of legal risks and protecting ADX\xe2\x80\x99s legal position and interest.
• Represent ADX group before governmental authorities or legal courts in any legal issue which require further resolution.
• Assist in the provision of legal advice and recommendations to aid the Board, the CEO and Senior Management in the decision-making process in order to protect the legal interests of ADX group against any legal liability.
• Prepare and update regulatory register applicable to ADX group.
• Define internal governance policies relating to legal risk / compliance management frameworks for ADX group, to ensure compliance with government and professional regulations.
• Oversee the execution of internal governance policies and legal risk and compliance management frameworks for ADX group to ensure compliance with government regulations.
• Conduct periodic regulatory obligation health check for the group and identify gaps and propose remedial plans.
• Assist in drafting, reviewing, negotiation, and execution of commercial agreements and documentation, including procurement agreements, lending and financing agreements, partnership agreements and purchase agreements to prevent legal liabilities from developing against ADX group while ensuring compliance with all relevant laws and regulations.
