Job Summary

The incumbent has the overall responsibility for managing legal and compliance matters in the AMESAP (America, Middle East, Europe, Sub-Saharan Africa & Pakistan), providing quality legal services in a diverse field of legal practise across a number of complex jurisdictions. the incumbent will ensure the business is being conducted in compliance with all applicable laws and regulations as well with relevant company policies. This includes contract development, negotiation and management, counselling and advising the country/BU on consumer, competition, labour and other commercial matters, conducting litigation, leading critical initiatives and projects relating the countries within the Area and continually improving the services that he/she and his/her direct reports can provide to the country organizations, the Business Units and the Company over all. The position as in charge of all corporate and company law related activities including the management of statutory and administrative work.

Roles & Responsibilities

\xef\x82\xa7 Manage and advise on all legal issues within the markets, including unfair competition law, anti-trust law, corporate law, labor law, administrative law, food law, labelling, trademark, copyright and advertising or promotional matters and activities; Court arbitration proceedings; contracts; plant, production and environmental issues; anti- bribery matters; and sanctions issues.
\xef\x82\xa7 Develop and review contracts and other legal documents such as joint venture, agency, distribution, sales, lease, purchase, procurement, logistics and new media agreements. Lead and/or support negotiations of all types of agreements. Support simplification of contract processes.
\xef\x82\xa7 Execute the secretariat function with excellence through proactive management of corporate governance. Prepare and maintain Minutes of the Board of Directors and General Assemblies of the various operating companies within the markets.
\xef\x82\xa7 Follow-up on renewals and maintain copies (originals for UAE) of Trade Licenses, Commercial Registries, permits and licenses for all operating companies.
\xef\x82\xa7 Keep him/herself abreast of all Commercial/Corporate Laws of the countries under coverage.
Educate and communicate legislative and other key legal changes affecting the business, with a view to mitigating threats and creating opportunities and conduct trainings in relevant areas of law.
\xef\x82\xa7 Effectively participate and contribute in considering and accomplishing the Legal Department\'s objectives in realizing the company\'s strategic business targets. Establish open and professional relationships between the Legal Department and the functional heads based upon strong delivery, full participation in the wider business agenda.
\xef\x82\xa7 Support, coach and develop the technical legal skills, experience and business know-how of his/her direct reports and continuously optimize and supervise their work results
\xef\x82\xa7 Manage the intellectual property portfolio for the Area and devise strategies for protection and defence of intellectual property rights
\xef\x82\xa7 Develop and manage an effective external counsel network.
\xef\x82\xa7 Develop and manage external counsel budgets for the Legal Department.

1. % of cases handled and successfully closed
2. Adherence to service level agreements (SLA) on contracting
3. Adherence to timelines as per Corporate Governance calendar
4. Zero faults in IPR and trademarks
5. Total resolution cost for litigation
6. % adherence to legal budget
7. Minimum legal liabilities and risk exposure to IFFCO in UAE and GCC countries

Work experience requirement
  • 10-15 years experience in a relevant jurisdiction
Qualification
  • Bachelor\'s /Master\'s Degree in law from reputed University
