Job Description

Background
As Director Corporate Finance, the holder manages a team of professionals whose role will be to ensure that Ooredoo Group have the funding availability to meet strategic, operating, M&A and ad hoc requirements. To oversee and manage a significant part of Group Treasury function by managing the risks associated with strategic liquidity, funding (as well as related matters), counterparties, currency and interest rate matters at both (a) Ooredoo corporate level and (b) supporting Ooredoo Group companies in all treasury activities. In addition, full responsibility of Group Liquidity and Foreign Exchange Risk Management and Middle and Back Office Functions of the Ooredoo Group Treasury. In managing the above, the holder:
  • Leads the Foreign Exchange, Interest Rate and Liquidity Management at Corporate/Qatar level as well advises OPCOs in all FX/IR and Liquidity related matters.
  • Leads the Group Treasury Middle and Back Office function and ensures timely settlement, confirmation and reporting of Group Treasury transactions.
  • Ensures that Ooredoo is positioned to have access to bank loans and debt capital markets as and when required
  • Leads and/or provide guidance in the negotiation of favourable terms for all debt facilities
  • Ensures availability of liquidity throughout the group at an optimal costs
  • Oversees the review of counterparty risks throughout the group
  • Oversee Credit Ratings related matters (with Investor Relations)
Role Profile
  • Leads and manages a team of professionals, motivates, appraises and coaches the team to ensure that there is the highest possible level of performance at all times.
  • Create and ensure implementation of strategies and processes for managing the liquidity and foreign exchange risks of Ooredoo and its subsidiaries. This is done via structuring of appropriate loan and liquidity facilities and via placement of fixed deposits and managing the foreign exchange exposure at Corporate/Qatar level. .
  • Project Manager / Co-Lead with other OG departments in major transformational transactions (M&A etc.).
  • Oversees the review of cash flow planning to ensure Ooredoo Corporate/Qatar as well as Ooredoo\xe2\x80\x99s subsidiaries have cash available as and when it requires.
  • Monthly analysing & monitoring via treasury reporting from OPCOs, including high level reconciliation and compliance with annual treasury strategies (including covenant compliance).
  • Prepare and execute the Financial and Funding Strategy for Ooredoo and its subsidiaries (including long term and working capital management) as well Strategies for Ooredoo liquidity placements, foreign exchange and interest rate risk management and ensure that all department activities in relation to funding are managed effectively. This would include defining amounts of funds required by each group companies, identify sources funding which could be from any lending institution, and ensure that relationships are built with those institutions and negotiations are undertaken with them to give Ooredoo the best possible rates for funding.
  • Leads & manages the AOP process from Treasury. Presents the Group Financing Strategy, funding plans and Ooredoo specific matters to the Ooredoo board for approval.
  • Leads and advice on any financing and treasury related matters pertaining to any OPCO boards.
  • Leads all settlement, KYC, Anti-Money laundering matters, confirmation and reporting requirement at Corporate/Group level.
  • Act as the most senior expert on treasury, foreign exchange, liquidity and interest rate risk management and financing related matters within the Group (and providing advice to the Group and OPCOs on treasury, financial risk, liquidity management and financing related matter as required by them).
  • Define and oversee the achievement of team KPIs, in order to ensure the achievement of Department KPI\xe2\x80\x99s.
  • Define OPCO CFO Treasury related KPIs
  • Board / committee responsibilities of SPVs as appropriate.
  • Deputise for Executive Director and Group CFO in his absence as designated from time-to-time
  • Liaising with external parties such as credit rating agencies
  • Meetings with investors (with Investor Relations)
  • Working with legal advisers
  • Maintaining strong working relationship with key relationship banks, etc.
  • Board and committee related workflow & responsibilities when appointed to SPV boards & committees
Financing & Liquidity,
  • Ensure that the Group have sufficient liquidity at all times in order to meet its payment obligations by ensuring sufficient cash balances and committed bank liquidity lines.
  • Ensure that the Group have access to both loan and debt capital markets as and when required.
  • Oversee, plan and manage the execution of all Debt Capital Market / Loan Market transactions for both Ooredoo and its subsidiaries (as appropriate), including the preparation of all relevant Ooredoo Board approvals. Activities herein would include transaction initiation, bank selection & appointments, documentation (prospectus), involvement in investor road shows and deal execution (pricing, allocation etc...).
  • Ensure there is adequate flexibility for Ooredoo and its subsidiaries to obtain funding from different sources (including banks, debt capital markets instruments (bonds & Sukuks), vendor financing, ECA backed facilities, Multilateral Agencies, DFIs etc\xe2\x80\xa6)
  • Plan and manages Ooredoo Group debt maturity profile.
  • Leads compliance with conditions and financial covenants for any debt finance facility of Ooredoo Group.
  • Leads and arranges the most beneficial financing terms in order to provide any acquisition bridge financing and its related refinancing for M&A activities.
  • Leads and arrange and execute project finance and restructuring projects for OPCOs in highly central bank controlled / restricted / regulated countries.
  • Evaluating methods of extracting \xe2\x80\x9ctrap cash\xe2\x80\x9d from highly central bank controlled / restricted / regulated countries.
  • Leads and manage the structuring the balance sheet and capital structure of Ooredoo group and subsidiaries.
  • Leads and Arrange equity injections and shareholder loans within the Ooredoo Group.
  • Dealing authority is granted to execute treasury transactions with banks as \xe2\x80\x9cGroup B\xe2\x80\x9d as approved by Group CEO.
  • Leads the management of excess funds in an optimal fashion (including short term arbitrage as approved by management.
  • Oversee Group Borrowings of around US$12bn (as at the date of this document).
  • Strategic funding planning of Ooredoo and its subsidiaries based on AOP (including board papers). Upon approval, monitor its execution.
  • Managing credit ratings related processes.
  • Managing and actively engaging with key relationship banks (including expanding the relationship base) in order to ensure that they are kept abreast of developments in order to provide financing and transaction support at relatively short notice as appropriate.
Market Risk Management (Foreign Exchange and Interest Rate Risk Management)
  • In respect of OPCO liquidity oversight, leads and advice appropriate foreign exchange and interest rate risks transactions in accordance with Group Treasury Policy guidelines all consistently applied throughout the group.
  • Monitors the development of all counterparty party limits in compliance with the guidelines of the group treasury policy. This would involve setting up the limits, periodic reviews and obtaining appropriate board approvals etc.
  • Facilitating OPCOs execution of risk management transactions and documentation (as appropriate).
  • Provide advice and guidance on the Group Treasury Policy framework as appropriate.
  • Leads the Management of Liquidity at Qatar/Corporate level as well as management of revolving facilities
  • Leads the management of interest rate risks throughout the Group and execute strategies and appropriate derivative transactions to manage the interest rate risk of the Group.
Treasury Middle and Back Office, Budget Responsibilities & Compliance
  • Lead the Management of all types of Group Treasury deal confirmation and settlement. Administration and Management of Loans and Bonds. Project Management, Process Management as well as Relationship Management with back offices of Correspondent Bank, Counterparties and Subsidiaries
  • Leads all reporting and monitoring of ratios at Corporate/Group level.
  • Managing cash flow and oversee cash up stream.
  • Interest cost management to facilitate Interest Cost Optimisation.
  • Active engagement to ensure Financial Policy and Leverage level compliance.
External Engagements
  • Leading the process for obtaining and maintaining the existing credit ratings in liaison with Investor Relations.
  • Create and maintain relationship with senior bankers, lawyers and other relevant external consultants.
  • External \xe2\x80\x9ccustomers\xe2\x80\x9d are senior International and local bankers, senior credit rating agency representatives, auditors, consultants and senior lawyers. Internal customers include Executive Committee and M&A group, Group Accounting and Taxes, Group Legal, Group Governance / Compliance.
  • Selective speaking engagements at debt finance forums and conferences to promote the interest of Ooredoo (at the same time engaging with existing & potential investors).
Project Management
  • Major Project Management (Ratings, Debt Capital Market program, Working Capital Strategies, Iraq cash upstream, IFRS/covenant related projects, cash management system etc...).
  • Liaise with the M&A and Co Lead projects with them as may be requirements for the acquisition of new businesses or merger activities. Will also be involved in the prospectus preparations and valuation exercise as appropriate.
Others
  • Oversee activities of selected SPVs as and when appointed to the board / management committees.
  • Driving digitalisation in relation to electronic cash management project implementation at OPCOs as and when there is both OPCO and market maturity. At group level, leveraging on digital resources to improve OPCO treasury reporting framework.
  • Lead the Management of all types of Group Treasury deal confirmation and settlement. Administration and Management of Loans and Bonds. Project Management, Process Management as well as Relationship Management with back offices of Correspondent Bank, Counterparties and Subsidiaries
  • Leads all reporting and monitoring of ratios at Corporate/Group level.

Experience
Minimum Experience & Essential Knowledge
Must have minimum of 15 years\xe2\x80\x99 relevant experience within a corporate treasury function or a bank and at least 5 year of which should be in a managerial role. Qualifications

  • Bachelor\xe2\x80\x99s degree or masters in Finance / Banking
  • Professional Accounting Qualification (CA, ACCA, CMA, ACT or similar) advantageous
