GSS is responsible for many of the tools, processes and daily routines that create the backbone of DNV.

About the role

The corporate specialist is responsible for corporate housekeeping support function for the countries in Region Middle East and Africa. To succeed in this role, you should be a team player with excellent communication skills and cultural awareness. You will be responsible for maintaining corporate records of DNV entities, including preparation of resolutions, written consents and other corporate governance or legal documents. So, you have to be well organized, attentive to detail, aware of deadlines and have a sharp judgment. As a corporate specialist in our team you will be responsible for :
  • Maintaining and keeping information up to date for all the Legal Entities assigned in accordance with Internal requirements in our corporate digital tool and physical archives when required by law
  • Coordinate and oversee Corporate Filings with government authorities as and when required by local law
  • Ensuring business licenses are up to date and compliant to the services provided and local law
  • Liaise with shareholders, board members, corporate officers, lawyers, third party providers on governance matters
Coordinating corporate actions to ensure that necessary corporate actions are taken, including:
  • Board meetings General meetings, both annual general meetings (AGM) and extraordinary general meetings when required to formalize certain decisions
  • Facilitate the preparation of corporate documentation including:
    • Resolutions and notices which need to be passed
    • Minutes from general meetings and board meetings
    • Articles of association
    • Powers of Attorney
  • Facilitate and attend board meetings and general meetings, where required

About you

  • Bachelor\xe2\x80\x99s degree with Paralegal Certification and/or bachelor\xe2\x80\x99s degree in Legal Studies with a Paralegal Concentration
  • 5 to 10 years in corporate governance
  • Multi-national experience
  • Arabic written and spoken is an advantage
  • Ability to proactively conduct documentation processes
