Job Overview

We are seeking a highly qualified

Corporate Lawyer

to join our professional legal team in

Dubai

.

The ideal candidate will have a strong background in

UAE corporate and commercial law

, with proven expertise in

contracts drafting, corporate structuring, and compliance

.

This position requires excellent communication and analytical skills, as well as the ability to handle complex, cross-border matters in a fast-paced business environment.

Key Responsibilities

Advise on and implement

corporate structuring, M&A, joint ventures, and shareholder arrangements

across UAE and international jurisdictions. Draft, review, and negotiate

corporate and commercial agreements

, including SPAs, MOUs, NDAs, management service agreements, and agency contracts. Provide

strategic legal advice

to management and clients on governance, structuring, and regulatory compliance. Liaise with

authorities and free zone regulators

(ADGM, DMCC, DIFC, DED, MOE, etc.) to ensure full legal compliance. Manage

incorporation, licensing, and restructuring

processes for UAE and international entities. Conduct

legal due diligence

and maintain comprehensive transaction documentation. Stay updated on

regulatory and legislative developments

affecting corporate and commercial law in the UAE.

Qualifications and Skills

Law degree

from an accredited university (UAE, UK, EU, or CIS preferred).

Minimum 5 years

of experience in corporate and commercial law, preferably in the UAE. Strong knowledge of

UAE company law

and

free zone regulations

. Exceptional drafting and negotiation skills for complex agreements.

Fluency in English

(written and spoken).

Russian or Spanish language skills

will be considered a

strong advantage

. Excellent analytical, organizational, and communication abilities. Proactive attitude, attention to detail, and ability to manage multiple assignments under tight deadlines. Strong professional ethics and commercial awareness.
