About the job ROLE SUMMARY Ford Motors Middle East is seeking a highly skilled and motivated Legal Counsel to join our legal team. The Legal Counsel will provide legal advice and support to our operations in the Middle East, including advising on commercial transactions, regulatory compliance, and dispute resolution. Ford Motors Middle East is seeking accomplished and driven Legal Counsel candidates to join our esteemed legal team. This critical role entails providing comprehensive legal advice and support across our Middle Eastern operations, with key focus areas including commercial transactions, regulatory compliance, and dispute resolution. As our Legal Counsel, you will not merely provide legal advice, but play an instrumental role in safeguarding our business interests and navigating the complexities of the regional legal landscape. Your expertise will guide our commercial endeavours, ensure our adherence to regulatory norms, and strategically manage disputes. Responsibilities: Distribution

• Support negotiation of distribution agreements/amendments with distributors
• Advise on interpretation of distribution agreements
• Provide input into and support of regional distribution networks
• Advise on dealer terminations, relocations, and locations
• Draft contracts and documentation in relation to distributors, vehicle holding compounds, repairer and parts distribution, retention of title and other securities, intercompany relations with Ford Credit
• Draft and review sales terms & conditions
• Draft, interpret, and defend fleet agreements and letters
• Advise on warranty & policy matters and the interpretation of the Warranty Manual
• Counsel Ford Customer Service Division (FCSD) on all after-market distribution, sales, marketing and advertising matters

Marketing/ Advertising and Communication

• Review marketing and advertising materials for all Ford and Lincoln commercials and campaigns with internal marketing team and external advertising agency
• Defend against claims brought in connection with marketing campaigns
• Review merits of legal action against trade law etc. violations by market participants
• Review Marketing and Sales communications with distributors
• Comment on formal external communication to ensure compliance with regional laws

Purchasing

• Assist in the interpretation and amendments of Ford\xe2\x80\x99s Global Terms and Conditions. Draft side letters to support purchasing
• Review contractual arrangements and contract terms with suppliers
• Support negotiations of non-standard purchasing contracts
• Draft the appropriate provisions to meet Ford\'s commercial requirements
• Advise the business on purchasing matters

Dispute Resolution

• Support defence across the region against dealer and customer claims and complaints
• Support enforcement of claims against suppliers/third parties and rejection of supplier claims
• Assist in commercial disputes and dispute resolution options

Corporate/Transactions

• Assist in drafting and negotiating a variety of corporate commercial agreements such as JV agreements, buy/sell agreements
• Develop contractual structures to meet Ford\'s commercial requirements
• Advise on interpretation of manufacturing and transactional contracts
• Draft amendments to existing transactional and manufacturing contracts
• Draft documents for the establishment of or change to Ford legal entities
• Advise on the interpretation and termination of commercial agreements and support negotiation of new and existing agreements

Antitrust/Competition Law

• Advise local clients on all competition law matters
• Work with governmental affairs to keep regular contacts with local authorities and monitor developments
• Ensure compliance with competition law requirements across the region

Data Protection Law

• Advise local clients on all data protection law matters
• Work with governmental affairs to keep regular contacts with local authorities and monitor developments
• Ensure compliance with data protection law requirements across the region
• You must work with the Legal Director for the region to support regional legal needs
• You must work with the entire regional and global OGC team to provide support and advice to all levels of the operation regionally
• You must work with outside counsel in the region to provide legal support and get outside advice where needed, in a cost-effective way
• You must work with the various skills teams to support Ford\xe2\x80\x99s business or Ford\xe2\x80\x99s distributors in the region

What are we looking for:

• A fluent attorney in both English and Arabic legal drafting, written and verbal communication.
• A strong analytical abilities to identify and mitigate potential legal risks within complex business transactions.
• A flexible in your ability to work on solo or team-based assignments, while following instructions and delegating tasks.
• Prior experience in the Automotive industry is highly desirable, experience with legal guidance and strategic decision making in the automotive industry is a plus.
• This role is open to UAE Nationals only in line with guidance issued by the Ministry of Human Resources and Emiratization.
• A qualified attorney with a degree in Law (LLB, LLC or JD or Equivalent)
• An attorney in the UAE and allowed to represent the company in the UAE Public Courts.
• A 5+ years of Post-Qualification Experience.

Job Type: Full-time Salary: AED30,000.00 - AED35,000.00 per month Ability to commute/relocate:

• Dubai: Reliably commute or planning to relocate before starting work (Required)
