  • To give timely, high quality, pragmatic, commercial legal advice.
  • To identify, qualify, and mitigate legal risk (including associated material commercial risks) and add value by enabling well-informed decisions.
  • To support and drive organisational change, and legal process improvements.
A qualified and practising EPC projects, engineering and/or construction lawyer (solicitor/barrister) you will support all legal aspects of our contracting lifecycle (pre-qualification, bidding, execution, claims and close out) and all our other corporate and commercial activities. This will include legal support to help the business resolve disputes cost-effectively, to find commercially focused solutions and achieve successful outcomes in varied global jurisdicitions. The Legal department operates as a single function across the Petrofac group of companies. The principal locations of our lawyers are the UAE, London, Aberdeen and we support all parts of Petrofac globally. KEY ACCOUNTABILITIES (Non-exhaustive) Front-end support: bids and tendering
  • Review of draft terms and conditions, support commercial functions with interpretation, analysis and drafting of qualifications (client-facing, subcontractors and suppliers).
  • Advise on implementation of corporate DoAs, contracting protocols (best practice) or similar.
  • Draft and negotiate preliminary agreements (e.g. confidentiality agreements, MOUs, heads of terms, bidding, consortium, collaboration, joint-venture and shareholder agreements).
  • Provide commercially pragmatic legal advice to bid teams and projects in varying jurisidictions. Advise on implications of applicable local laws; engage and manage external local legal advisers to ensure appropriate and cost-effective advice is given.
  • Negotiate and advise on creation, operation and closure of legacy and local country projects and corporate presences (e.g. newcos and PEs), assist in legal due diligence, draft, negotiate and advise upon corporate loan facilities, bonds, guarantees and securities.
Project counsel Legal support to projects at any stage (bidding, commencement, execution, amendment, and termination), at any level (upstream, downstream or laterally (partners)). Help identify, exclude, mitigate and manage contractual, legal and commercial risks through life cycle of EPC(M), E&C, consultancy, services, and other contract types. Contentious Manage, support and lead operational and project teams, commercial and other functions in analysing claims and disputes, progressing and defending them, provide or obtain advice and opinions, facilitate and implement resolution and draft settlements, potentially with multiple parties and partners, subcontractors, suppliers and clients and other stakeholders. Corporate and organisational change Coach, mentor, educate and train and communicate effectively with non-lawyers to understand legal concepts and risk in user-friendly ways. Support consistency of corporate behaviours relevant to group standards published from time to time (e.g. anti-bribery and corruption, diligence, and governance). Support governance and ensure that Petrofac complies with its legal obligations. Assist in development, improvement, implementation and delivery of policies and procedures education, training and guidance including review, maintenance and updating of precedents. Provide reports and management information on legal matters, legal risk management and on the operation of the department\xe2\x80\x99s business. Assist legal department and Corporate Services with any other matters that arise from time to time (e.g. PoAs, notarisations, legalisations, M&A activity, formation of joint-ventures, due diligence and with investigations, reports, supporting other parts of the wider business) Represent Petrofac (meetings and hearings). Deputise for Head of Legal \xe2\x80\x93 Commercial. This role requires more autonomy than a junior legal role and the candidate will be expected to demonstrate an increased level of maturity, judgement, caseload management and individual responsibility.
