Job Description

JOB PURPOSE:

To plan and execute the multiple buyer contracts including the preparation, evaluation, finalization linked to LNG cargoes in alignment with contract management process, ADP (Annual Delivery program) and approved procedures to ensure safe & reliable delivery of the product.

Review and monitor the implementation of contracts, and alert management on matters related to potential risk and liability.

Job Specific Accountabilities

Contracts Framework

Lead to develop policies, procedures, standards and guidelines for handling of contractual requirements in close consultation with the respective Units within the Supply & Trading Directorate and ADNOC Marketing International (deleted), stakeholders ensuring ADNOC LNG's technical and commercial interests are contractually safeguarded, while the mode of the contracts implementation complies with Company's procedures and commercial policies. Provide specialized input for development and implementation of internal control framework for contract processes in order to enhance business effectiveness and efficiency. Conduct periodic review and update of contract management procedure, manuals in consultation with respective department to achieve quality oriented and cost-effective contract process, highlight the gaps to the management for cost effectiveness and avoidance of penalties. Lead to develop performance reporting framework of customers, internal stake holders and flag deviations which are impacting commercial interest and contractual commitments

Need Analysis (Pre-Contract Phase)

Partner with relevant department and continuously with legal to identify requirements and ultimate goals that require contractual services; lead the identification and defining of risks for potential scenarios that could occur over the lifetime of the contract and recommend mitigation plans, ensuring the business is financially protected while ADNOC LNG's business relationship with partners is strengthened. To tabulate the terms and conditions of multiple contracts of the same buyer or multiple buyers and conduct analysis from commercial impact for future contracts.

Contract Management

To ensure the delivery of the cargo is as per the contract terms and conditions of the contract. To evaluate any change request from buyer with regards to discharge port, delivery window, quality specifications, quantity specifications from the economic aspect and report the same to the Manager for the necessary approvals and modifications. To provide expert input to the manager on the spot sale value of the cargo taking into consideration the delivery schedules, contract terms & conditions, estimated voyage time. Review and analyse contractual claims, including demurrages, quality related issues,force majeure and breaches, and recommend appropriate settlement accordingly taking into account the Legal and contractual framework, and evaluate the outcome to be implemented to solve the issues in coordination with the Concerned Departments.

Contract Administration

To ensure that all the documents like BOL, L/C, invoices are in place and records of the same are maintained. To follow up with contract customers to obtain their consent on the draft ADP sent to them. Differences if any between customer's preferred delivery and ADNOC LNG's proposed dates to be escalated to the manager and resolved through discussions. Assist the marketing team in negotiations of new sales contracts and confirmation notices. Keep management updated on changes of commercial aspects due to change in the rules & regulations for shipping/ cargo industry in particular country, unloading destination. Ensure coherent and standardized sales effort to facilitate efficient implementation of Sales contracts

Tender Management

Review tenders and offers highlighting contractual risks. Review tender criteria as well as draft special conditions when needed for inclusion in contract document.

Scheduling & programming

To be aware of ADP process and substitute the job when required.

Take action to INTERVENE and STOP any un-safe activity or non-compliance with HSE requirements, if witnessed, and report the incident - regardless of your position or that of the transgressor

Supervision

Plan, supervise and coordinate all activities in the assigned area to meet functional objectives. Train and develop the assigned staff on relevant skills to enable them to become proficient on the job and deliver the respective section objectives.

Budgets

Provide input for preparation of the Section / Department budgets and assist in the implementation of the approved Budget and work plans to deliver Section objectives. Investigate and highlight any significant variances to support effective performance and cost control

Implement approved Section / Department policies, processes, systems, Quality standards and procedures in order to support execution of the Section's / Department work programs in line with Company and International standards.

Performance Management

Contribute to the achievement of the approved Performance Objectives for the Section / Department in line with the Company Performance framework.

Innovation and Continuous Improvement

Design and implement new tools and techniques to improve the quality and efficiency of operational processes. Identify improvements in internal processes against best practices in pursuit of greater efficiency in line with ISO standards in order to define intelligent solutions for issues confronting the function.

Health, Safety, Environment (HSE) and Sustainability

Comply with relevant HSE policies, procedures & controls and applicable legislation and sustainability guidelines in line with international standards, best practices and ADNOC Code of Practices.

Reports

Provide inputs to prepare Section MIS and progress reports for Company Management.

COMMUNICATIONS & WORKING RELATIONSHIPS:

Internal

Communicates with peers, Department Managers, VP, Operations, Finance, Corporate Strategy on issues related to contract Management.

External

Communicates with multiple buyers, ADNOC L&S, legal and port authorities with regards to matters on contract Management

QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS:

Minimum Qualification

Bachelor's Degree in engineering/ Economics/ Logistics/ Commerce or equivalent

Minimum Experience & Knowledge & Skills

8 years of experience, including at least 6 years in contract management in Shipping/ gas industry

Professional Certifications

Professional certifications in related field would be an advantage though not mandatory

TECHNICAL COMPETENCIES:
