About the role:

The job holder will be responsible for leading the legal team and providing guidance on a wide range of legal matters, including M&A, risk management, compliance, and corporate governance.
With a focus primarily on M&A and providing strategic corporate advice to the Executive Committee, Commercial Teams, Joint Venture Partners, and other stakeholders relating to portfolio companies.

The key responsibilities will include:

• Negotiate, draft and review transaction documents including Share Purchase Agreements, Convertible Loan Agreements, Memoranda/Articles of Association, Joint Venture Agreements, Management and Consultancy Agreement.
• Advise and draft Board and Shareholder resolutions and advise on all aspects of corporate governance focusing on board, director and shareholders rights and obligations.
• Prepare legal strategies to minimise risks for disputes.
