How will you CONTRIBUTE and GROW?

We are on the search for a qualified legal associate who has experience with the various legal and local administrations within the GCC with deep knowledge in corporate governance, contract review and management. This role will require the candidate to be comfortable communicating working through documentation in both Arabic and English across the GCC.

Ideally the candidate should have experience in the following :

Reviewing & drafting contracts, briefs, notices, memoranda, circulars, correspondence, reports and other legal forms.

Responsibility for the filing and recording of documents (Incorporation documents, contracts, etc...) and the overall archiving of the Legal Department.

The role interfaces with several internal & external stakeholders such as:

Legal counsels of other entities within the AMEI hub;

Internal customers including the general managers of the affiliates and the heads of departments;

Law firms, notary publics, governmental authorities such as national or local administrations or agencies, etc\xe2\x80\xa6

Key responsibilities:

To assist the Chief Legal Officer in the daily tasks of the legal department;

To provide legal assistance and support in the preparation of legal cases and lawsuits and more generally to interact with law firms on various litigation matters;

To review contracts and legal documents and more generally, to supervise the implementation of the Air Liquide contractual guidelines;

To supervise the implementation of the Air Liquide corporate governance in the affiliates and subsidiaries of the Africa, Middle East and India (AMEI) hub;

To produce monthly reports of the tasks and services rendered by the Legal Department;

To carry out legal research / studies on a wide range of topics with the assistance of external lawyers;

To extend assistance to other support functions namely Human Resources and Finance departments;

To provide guidance, advisory and counseling to affiliates on a wide range of matters relating to compliance with local laws, regulations and policies in force;

To carry out other functions that may be assigned by the Chief Legal Officer from time to time.

Under the supervision of the AMEI Chief Legal Officer, will follow up on:

the preparation / production / translation / legalization of documents in connection with projects / contracts / companies (e.g., forms, letters, extracts of companies, invitations to board and general assembly meetings, extracts of minutes of meetings of boards or general assembly resolutions ...etc.)

the creation / restructuring / liquidation of subsidiaries with the various governmental authorities of the zone (ministries, municipalities, Free Zone departments, notary public, courts, embassies, consulates...). That includes assisting subsidiaries in matters relating to licensing, restructuring and more generally, on subjects involving interactions with local authorities.



Are you a MATCH?

Education

Minimum Law graduate level qualification

License to practice law in home jurisdiction

Authorized to practice law in a jurisdiction with a current legal practicing certificate

Experience

Completed Litigation training

7 years PQ relevant experience in corporate and commercial law working in a legal capacity in a law firm and/or in-house with a multinational corporation preferably in the Industrial sector.

Experience with Governmental authorities within the UAE (notary publics, ministries, embassies, courts, consulates, Free Zone departments...) and preferably other regions within Africa, Middle East & India.

Arabic and English business-level fluency and drafting skills required.

Competencies

Excellent knowledge of office automation (Google Suite, Word, Excel, PowerPoint, etc.);

Highly organized with the ability to work well under pressure;

Excellent organizational and time management skills.

Takes full responsibility for all tasks and their completion, shows initiative and is driven to have the work completed on time.
