Global US Firm is seeking a Corporate / Commercial Transactional Associate to join its growing Middle East team in Dubai.
Ideally, the candidate must already be located in and have significant experience in the UAE.
Qualifications:

• Prior top tier law firm experience (Magic Circle, Silver Circle, AmLaw 50) including in the UAE and other GCC states preferred.
• Must have demonstrated competency in core Corporate / Commercial / M&A skills, including:

• Drafting and advising on local law issues in relation to a wide range of commercial contracts and agency agreements, ideally including franchises.
• Advising on contracting, licensing, registration and local doing business/regulatory requirements generally, including doing business set up alternatives and requirements on-shore in the UAE and in the various UAE free zones (including legislative developments in the UAE regarding 100% foreign ownership on-shore in the UAE), labour and employment matters, compliance with new Ultimate Beneficial Ownership Resolution.
• Working knowledge of UAE VAT and CIT regimes also merits additional consideration.
• Due Diligence & preparing Red Flags Reports on M&A Targets.
• Preparing Letters of Intent / Term Sheets.
• Drafting Shareholders' Agreements (SHAs) and related agreements for Joint Ventures.
• Preparing Closing / Completion Checklists.
• Advising on completion mechanics for share sales in UAE onshore and free zone companies.
• Experience with both English law and UAE law governed documents.
• Experience in TMT, Energy & Defense sectors a strong plus.
• Business development skills valuable and encouraged.
