Petrofac is currently looking to recruit a Company Secretarial Assistant on a permanent basis based in Sharjah, UAE.

Main purpose of role: To provide a full generalist service as a member of the Secretariat team. Working in a varied environment, covering all aspects of the administration support required by the Secretariat function. In addition, with assistance from senior colleagues, the role will provide company secretarial support to Group functions in matters relating to compliance with company law, company secretarial practice and corporate governance (including maintenance of statutory records). Provision of assistance on Group projects, as required, and assisting in researching legislative, regulatory and governance matters on an ad hoc basis. Key Duties & Accountabilities: Responsibilities will include: Secretariat services
  • Provide assistance with regard to the secretarial administration of subsidiaries, including tasks relating to statutory data within directors’ and financial statements
  • Provide assistance to colleagues on matters such as changes to, and information relating to, subsidiary company articles, corporate governance and statutory audits
  • Provide assistance with the issuance and renewals of Power of Attorneys for subsidiary entities
  • Organise notarisations and legalisations, as required when dealing with the issuance and renewals of Power of Attorneys, Parent Company Guarantees, and other statutory documents, as required
  • Working with other members of Company Secretariat, create and maintain statutory registers and ensure all statutory registers are updated within Diligent Entities and relevant filings are completed on time, in compliance with relevant Companies Acts and local jurisdictions
  • Provision of support to entity rationalisation project(s)
  • Provision of support in the compilation and maintenance of the Group structure chart and managing the corporate database
  • Provide support to other functions, such as Group Treasury, Group Legal, Group Finance, as required, in relation to company secretarial matters
  • Undertake various Company Secretarial projects as part of the team, including the provision of assistance to the Head of Secretariat on PLC corporate matters, when required

Knowledge & Qualifications:
  • Prior experience of working within a corporate environment advantageous
  • Diligent Entities (Blueprint OneWorld) knowledge, essential
Skills:
  • Excellent teamwork skills - required to work closely with members of Secretariat team as well as other related departments across the Group
  • Strong administration and organisational skills and excellent attention to detail
  • Proven forward planning skills and the ability to work in a fast-moving environment
  • Ability to prioritise workload and manage deadlines
  • Ability to build relationships at all levels, demonstrating confidence in dealing with senior executives
  • Excellent interpersonal, written and verbal communication skills with the ability to communicate both at differing levels and between different cultures whilst maintaining confidentiality and professionalism
  • Ability to share best practice, improve service, reduce administration and provide mutual support across the Group.
  • Possess a flexible and motivated approach with the ability to contribute to teamwork
  • Reliable, self-motivated and proactive
  • Interested in expanding knowledge of the wider frameworks of corporate governance
  • Competent in Microsoft Word, Excel and PowerPoint

Experience:
  • Prior experience of working within a corporate (listed) environment (preferred)
