Job Advert Description
Where you\'ll work Through our growing corporate team, whose primary focus is transactional work, commercial advisory, structuring and foreign direct investment, we provide our clients a full suite of corporate and commercial services. We act for a diverse range of private sector, family and government clients across most industry sectors, including energy and infrastructure, TMT, healthcare, education, travel and tourism, financial services, real estate, retail, manufacturing, and food and beverage. As an important member of a high-performing team, you will work on Dubai inbound, domestic, and outbound matters, often involving multiple jurisdictions. We are looking for an Associate with at least four to five years\' corporate/commercial experience of which a minimum of two to three years would have been spent in the UAE.
What you\'ll be doing The new recruit will play a pivotal role in a variety of work types including but not limited to:
  • Working on company incorporations.
  • Advising on company reorganisations and structuring options.
  • Overseeing local share transfers;
  • General local law advisory including employment
  • Advising on shareholders\' agreements.
  • Advising on corporate structures.
  • Company law - structuring, company set-ups and liquidations, governance, company advisory, constitutional, FDI, local regulatory
  • Drafting of commercial contracts \xe2\x80\x93 working on supply agreements, distribution/agency agreements, licence agreements, amendments to MOA\'s, nominee agreements, franchise agreements and various other forms of commercial agreements
  • Advising on M&A and private equity transactions including share and business acquisitions and disposals.
  • Advising on Capital Markets matters.
  • Project managing smaller scale transactions.
  • Proactive participation in marketing initiatives.
  • Undertaking due diligence;
  • Participating in firm-wide and departmental training sessions.

What you\'ll need The firm has a Career Development Framework which sets out the competencies we expect of those at the Associate grade. In particular for this role, we expect candidates to demonstrate:
  • Proven ability to take on responsibility and manage files with minimal supervision.
  • Strong client focus and a commitment to service delivery.
  • Excellent drafting skills.
  • Drive and enthusiasm.
  • Commercial awareness.
  • Flexibility and can-do attitude.

Experiences and Qualifications
  • Qualified solicitor within the range of 4-5 years\' PQE with ideally 2-3 years\' experience in Dubai.
  • You will have trained and gained directly relevant experience at a recognised corporate practice and/or in-house legal team and display a commercial and problem-solving mindset.
  • Experience with liaising with governmental authorities such the DED and various freezones is beneficial
  • More general M&A/transactional experience an advantage
  • Preference for candidates qualified in the UK or another equivalent common law jurisdiction.
  • Previous UAE experience is required.
  • Advanced English language communication essential; business Arabic an advantage.
